Ms. Billberry: -- so -- Chairman Gonzalez: PH.4. Vice Chairman Sanchez: Oh, it has been continued? Ms. Billberry : To July 26. PH -- Chairman Gonzalez: PH.4. Ms. Billberry: -- 4 is a resolution waiving competitive bidding and authorizing execution of an amendment to the agreement with Global Spectrum for their continued management and operation of the Knight Center. Global's contract currently expires September 30 of this year. Given that the City is currently pursuing various options regarding the future of the property, we believe it's in the City's best interest to waive the competitive bidding and authorize an extension for six months. lf, at the end of the six months, it appears that we are moving towards a disposition of our management of the Knight Center, then we would -- the Manager, excuse me, may extend the agreement for three additional one-year periods. If it appears that things will stay status quo, then we would rebid the contract for the management of the Center, and all the terms and the conditions of the agreement will stay the same as their current contract. Chairman Gonzalez: All right. Is there a motion? Commissioner Regalado: I'll move it, and -- Vice Chairman Sanchez: Second. Commissioner Regalado: -- it makes sense. What you're doing, itmakes sense because you can't go out and bid for something that you don't know if it's going to exist or not, so I'm moving the item. AUTHORIZING THE CITY MANAGER TO ENTER INTO A MANAGEMENT AND OPERATIONS AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM AND ACCEPTABLE TO THE CITY ATTORNEY, INCLUDING BUT NOT LIMITED TO THOSE REQUIREMENTS PRESCRIBED BY CITY CHARTER AND CODE PROVISIONS, BETWEEN THE CITY OF MIAMI AND GLOBS FACILITY SERVICES TO PROVIDE PROFESSIONAL SERVICES FOP. THE MANAGEMENT. OPERATION AND MAINTENANCE OF THE MIAMI CONVENTION CENTER FOR A TERM OF FIVE (5) YEARS WITH AN OPTION TO EXTEND THE AGREEMENT FOR AN ADDITIONAL TERM OF FIVE (5) YEARS AT THE SOLE DISCRETION OF THE CITY; AND PROVIDING REQUIREMENT FOR NOTICE OF TERMINATION. WHEREAS, the Miami Convention Center opened on April 27, 1982; and WHEREAS, it is the intention of the City that the Miami Convention Center shall be placed under a management agreement with a professional management firm having experience in management of convention center or civic facilities; and WHEREAS, the City of Miami entered into an Agreement with Leisure Management, Miami, for the management, operation and maintenance of Miami Convention Center on September 8, 1992, and 11287 COMOSSION OF SEP 2 3 ofo RumbOco Na Si— 662 1 1 r said Agreement expires on or about September 30, 1997; and WHEREAS, the City Commission, at its meeting of July 24, 1997, directed the City Manager to negotiate an agreement with Globe Facility Services for the management and operation of the Miami Convention Center; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Manager is hereby authorized to execute an agreement, in substantially the attached form and acceptable to the City Attorney, including but not limited to those requirements prescribed by City Charter and Code provisions, with Globe Facility Services for the management, operation and maintenance of the Miami Convention Center for a term of five (5) years with an option to extend said Agreement for an additional term of five (5) years, at the sole discretion of the City. Section 3. This agreement is subject to continued - 2 - 97- 662 J ownership of the Miami Convention Center by the City of Miami. In the event of the sale of the Miami Convention Center, the City shall provide notice of termination within 36 months to Globe Facility Services. Section 4. KNIGHT CENTER This Amendment is made and entered into this day of , 2002 by and between Globe Facility Limited Partnership, a Florida limited partnership d/b/a Global Spectrum (the "Firm"), and The City of Miami, a municipal corporation of the State of Florida (the "Ciy'). RECITALS A. On October 1, 1997 the City and Globe Facility Services, Inc. entered into an Agreement for Professional Management Services for the James L. Knight Center in Miami, Florida, which was subsequently assigned to the Firm (the "Management Agreement"). B. The Management Agreement was amended by letter dated June 28, 2002, executed by the Firm, in order to delete Section 10.2, to bring the agreement in compliance with the revised IRS guidelines applicable to management contracts. C. The Management Agreement expires on September 30, 2002, and the City and the Firm wish to exiend the term for an additional period of five (5) years, in accordance with the provisions of Section 11.2 thereof. D. By Resolution No. 02- 02-1053 adopted September 26, 2002 the City Commission has authorized the extension of the term of the Management Agreement for a period of five (5) yeas. NOW, THEREFORE, in consideration of the covenants and agreements herein set forth and other good and lawful consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto, intending to be legally bound, agree as follows: 1. RECITALS. The foregoing recitals are true and correct and are hereby incorporated in this Agreement by reference. 2. AMENDMENT.
