AGREEMENT
Purpose of Item:
A resolution of the City Commission to approve the recommendations proffered by the Museum Park
Community Benefits Committee ("the Committee") to be incorporated into the Community Benefits
Agreement; further authorizing the City Manager to incorporate the recommendations of the
Committee into a Community Benefits Agreement in connection with the Lease, Master Development
Agreement, and a Master Management Agreement for the overall development and construction of the
Museum Park area, the proposed city park, and the proposed buildings for the Miami Arts Museum of
Dade County Association ("MAM"), the Museum of Science, lnc. ("MiaSci"), and the Historical
Association of Southern Florida, Inc. ("Historical Association").

Subject: RESOLUTION TO CONSIDER THE RECOMMENDATIONS BY THE MUSEUM PARK
COMMUNITY BENEFITS COMMITTEE TO BE INCLUDED IN A COMMUNITY BENEFITS
AGREEMENT
Background Information:
The City Commission on June 14, 2007 and on May 22, 2008 directed that the City establish a Museum Park
Benefits Committee (the "Committee") in connection with the Memorandum of Understanding ("MOU"),
authorized by Resolution No. 08-0290 on May 22, 2008, by and among the City of Miami (the "City"), Miami -
Dade County (the "County"), the Miami Sports and Exhibition Authority ("MESA"), the Miami Arts Museum
of Dade County Association, Inc. ("MAM"), the Museum of Science, Inc. ("MiaSci"), and the Historical
Association of Southern Florida, Inc. ("Historical Association").
The aforementioned MOU is a non -binding agreement which expresses the intent of the parties and establishes
the basic terms or certain definitive documents which will be brought back to the City Commission and to the
MESA Board, including the Lease, a Master Development Agreement, and a Master Management Agreement.
The City Commission directed that the Committee be involved in providing community input into the overall
development and construction ofthe Museum Park area, the proposed city park, and the proposed buildings for
MAM, MiaSci, and the Historical Association.
On November 13, 2008, the City Commission passed and adopted Resolution No. 08-0653, (i) making a
specific legislative finding that the Museum Park Project, which will be funded, in part, by Miami -Dade
County Building Better Communities General Obligation Bond Program, as approved by the voters, is intended
to revitalize the urban core of the City and, as such, is a project of a government agency, and (ii) authorizing
and directing the City Manager to negotiate and finalize the definitive documents for the Museum Park Project
directly with MAM and MiaSci, without the involvement of MESA, to implement the Museum Park Project in
a more efficient manner.
MAM and MiaSci have received funding from the City's Homeland Defense/Neighborhood Improvements
Bond Program and the City Commission has directed that in connection with the project co-operative
agreements for MAM and MiaSci that certain conditions be met, including the establishment of the Committee
to report to the City Commission. Furthermore, the proposed sites for the Museums are on City owned land in
Bicentennial Park.
The City Commission directed that the Committee include individuals knowledgeable regarding the local
economy, community programs and services, artists, galleries, science, exhibitions, education, cultural arts, and
related fields for the Museum Park Project and future programs, services and community events. Furthermore,
the Committee shall meet and report to the City Commission their recommendations of the terms and
conditions of a Community Benefits Agreement to be incorporated into the negotiations between MAM and
MiaSci.
Over the past five months, the Committee has met on six (6) separate occasions. During the meetings, the
Committee members, with the 100 percent cooperation of representatives from MAM, MiaSci, the
Committee's facilitator, and the City, were able to develop a Museum Park benefits recommendation that are
specific, tangible benefits the City and its citizens will enjoy. However, it is important to note that many of the
recommended benefits, particularly regarding reduced cost or expanded access to exhibits and programming,
are conditioned on financial support recurring through government subsidies and grants or developing new
revenue streams to augment (or replace) existing funding.
