A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
APPROVING A MODIFICATION TO A DECLARATION OF RESTRICTIVE
COVENANT ("ZONING COVENANT") DATED OCTOBER 20, 2004 AND
RECORDED IN OFFICIAL RECORDS BOOK 22923, PAGES 3035-3038, OF THE
PUBLIC RECORDS OF MIAMI-DADE COUNTY, FLORIDA, FOR THE
PROPERTIES LOCATED AT APPROXIMATELY 2255, 2263 AND 2295
SOUTHWEST 37TH AVENUE, 3685 AND 3695 SOUTHWEST 23RD STREET,
AND 3672 AND 3688 SOUTHWEST 22ND TERRACE, MIAMI, FLORIDA, LEGALLY
DESCRIBED IN ATTACHED "EXHIBIT A", IN ORDER TO AMEND CERTAIN
SECTIONS OF THE COVENANT IN THE MANNER DESCRIBED THEREIN.
WHEREAS, the properties located at approximately 2255, 2263 and 2295 Southwest 37th
Avenue, 3685 and 3695 Southwest 23rd Street, and 3672 and 3688 Southwest 22nd Terrace,
Miami, Florida (the "Property"), more particularly described in attached "Exhibit A," are subject to a
Declaration of Restrictive Covenant ("Zoning Covenant"), dated December 20, 2004, recorded in
Official Records Book 22923, Page 3035, of the Public Records of Miami -Dade County, Florida;
and
WHEREAS, on October 28, 2007, relative to a requested re -zoning, the City Commission
changed the zoning classification of this property from R-2 Two -Family Residential and C-1
Restricted Commercial to C-1 Restricted Commercial with an SD-19 Designated F.A.R. Overlay
District, F.A.R. of 2.4; and
WHEREAS, at that time, the property owners voluntary proffered to the City Commission a
Declaration of Restrictive Covenant, dated November 16, 2004, (the "Covenant"), and the
Covenant limited the property to be developed in accordance with those plans prepared by
Wolfberg/Alvarez & Partners, dated June 21, 2004; and
WHEREAS, the Office of the City Attorney will review the Modification of the Covenant and
is subject to being approved as to legal form and correctness by the City Attorney; and
WHEREAS, the City Commission after careful consideration of this matter, finds that it is in
the best interest of the general welfare of the City of Miami and its inhabitants to approve the
Modification to the Zoning Covenant, in substantially the form attached, and therefore grants the
requested Modification;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.

Section 2. The modification of the Declaration of Restrictive Covenant dated December 20,
2004, recorded in Official Records Book 22923, Page 3035, to amend the Covenant for the
Property is granted in order to allow the modified plans prepared by Behar Font & Partners, P.A.,
dated April 27, 2007, in attached "Exhibit B".
Section 3. Except as expressly modified all provisions of the Covenant continue in
operative force and effect.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor. {1}
Footnotes:
{1} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.

AMENDMENT TO DECLARATION OF RESTRICTIONS
This Amendment to Declaration of Restrictions ("Amendment) is made this day of
October, 2007 by STATVEL THREE, LLC, a Florida limited liability company ("Owner")
RECITALS:
A. Owner is the fee simple title holder to the land located in City of Miami, Miami -
Dade County, Florida described in Exhibit "A" attached hereto and by this reference made a
part hereof ('Property).
B. Morris Investment Partnership, LLLP, a Florida limited liability limited partnership,
the prior fee owner of the Property, executed that certain 'Declaration of Restrictions
("Declaration') recorded December 20, 2004 in Official Records Book 22923, at Page 3035 of
the Public Records of Miami -Dade County, Florida, which Declaration affects the Property.
C. Owner desires to modify and amend the Declaration as hereinafter provided.
NOW, THEREFORE, Owner hereby modifies and amends the Declaration as follows:
1, The plans referenced in paragraph II of the Declaration shall be amended to refer
to those certain plans prepared by Behar Font & Partners, P.S., dated April 27, 2007, on file
with the City of Miami Office of Hearing Boards. Consequently, paragraph 11 of the Declaration
is modified to read in total as follows: "Notwithstanding the land use and zoning applicable to the
Property, the use of the Property shall be limited as follows: That the Property shall be
developed in accordance with those certain plans prepared by Behar Font & Partners, P.S.,
dated April 27, 2007, on file at the City of Miami Office of Hearing Boards, and expressly made
part of this Declaration by reference subject as if they were recited in full herein only to any
changes required by the Planning and Zoning Department and/or building permit requirements."
2, Except as amended hereby, the terms and provisions of the Declaration shall
remain unmodified and in full force and effect.

C-1 RESTRICTED COMMERCIAL WITH SD-19 DESIGNATED F.A.R. OVERLAY I)ISTR.ICT
APPLICATION FOR VARIANCE SUBJECT TO COMPLIANCE WITH ZONING ORDINANCE
11000 and THE CITY CODE, AS AMENDED, AND TO ALL APPLICABLE CRITERIA,
CONSIDERATIONS AND/OR OTHER REGULATIONS.
The proposed development "Andalusia Corporate Center" will be comprised of a Mixed Use 13
Story building structure consisting of, nine (9) residential units with approximately 11,881 square
feet of floor area, 9,552 square feet of retail floor area, 152,998 square feet of office floor area, and
650 square feet of lobby floor area for a total project of 175,081 square feet. The development.will
provide 499 off street parking spaces. This application as presented, requires a Variance to allow a
maximum building height of 168 feet 8 inches A.G.L. at top of roof slab as delineated by a 45 degree
inward sloping plane from a height of 120 feet 0 inches at the base building line, and a second
Variance to increase the lot coverage from the maximum allowed of 40% to 54.12% proposed.
Pursuant to Ordinance 11.000, as amended, Supplement 17, the Zoning Ordinance of the City of,
Miami Florida, the subject proposal for ANDALUSIA CORPORATE CENTER at 2263 S,W.
DOUGLAS ROAD MIAMI, FLORIDA, has been submitted and reviewed to allow an application for
VARIANCES, subject to all applicable criteria;
REQUEST, for a VARIANCE, as per, ARTICLE 19, ARTICLE 4, Sect.401, C-1 Restricted
Commercial, to allow a relaxation of the terms of the ordinance in height, subject to all applicable
criteria;
Proposed height: 168 feet 8 inches AGL at top of roof slab.
Allowed height:
135 feet 6 inches (120 feet 0 inches at the base building line plus and
additional 15 feet 6 Inches as delineated by a 45 degree inward sloping
plane)
Request to be waived: 33 feet 2 inches.
REQUEST, for a VARIANCE, as per, ARTICLE 19, ARTICLE 4, Sect.401, C-1 Restricted
Commercial, to allow a relaxation of the terms of the ordinance in lot coverage subject to all applicable
criteria, increasing foot print from the 40 % maximum allowed to 54.12 % proposed;
THESE VARIANCE encompasses the following additional REQUESTS:
REQUEST, for waiver of CHAPTER 36 NOISE, Section 36-6 Construction Equipment (a)
permitting the operation of construction equipment exceeding the sound level of a reading of 0.79
weighted average dBA at any time and/or day subject to the City Manager Exception pursuant to
Section 36-6 (c) and all the applicable criteria;
REQUEST that the following conditions be required at the time of issuance of Shell Permit instead of at
issuance of Foundation Permit:
- The requirement to record in the Public Records a Declaration of Covenants and/or Restrictions
providing that the ownership, operation and maintenance of all common areas and facilities will be by
the property owner and/or a mandatory property owner association;
- And the requirement to record in the Public Records a Unity of Title or a covenant in lieu of a Unity
of Title.
