Subject: RESOLUTION RELATED TO THE NEGOTIATION AND EXECUTION OF THE MUSEUM PARK
PROJECT DOCUMENTS AUTHORIZING THE CITY MANAGER TO NEGOTIATE SUCH DOCUMENTS
DIRECTLY WITH THE MUSEUMS, WITHOUT INVOLVING THE MIAMI SPORTS AND EXHIBITION

Purpose of Item:
On October 7, 2008, the City Attorney has opined that the City of Miami ("City") may lease the Museum
Parcels directly to the Museums, without the involvement of the Miami Sports and Exhibition Authority
("MSEA"), because the Project constitutes a project of government agencies, in that it involves the City,
Miami -Dade County ("County") and potentially the Omni CRA.
Based upon the City Attorney's opinion, the City administration recommends that the Miami City Commission
adopt the attached Resolution authorizing the restructuring of the leasing of approximately 8 acres of land at
Bicentennial Park, without the involvement of MSEA, to the Miami Arts Museum of Dade County Association,
Inc. ("MAM") and the Museum of Science, Inc. ("MSM") pursuant to the Memorandum of Understanding
("MOU") between the City, County, MSEA, MAM, MSM, and the Historical Association of Southern Florida,
Inc. ("HASF"), for the implementation of the Museum Park Project in Bicentennial Park; authorizing the City
Manager to negotiate the leases and the definitive documents directly between the City, MAM, and MSM in
order to decrease complexity and simplify the negotiation and execution of the definitive documents and avoid
unnecessary costs. All other conditions remain the same.

PROJECT DOCUMENTS AUTHORIZING THE CITY MANAGER TO NEGOTIATE SUCH DOCUMENTS
DIRECTLY WITH THE MUSEUMS, WITHOUT INVOLVING THE MIAMI SPORTS AND EXHIBITION

Background Information:
The County, City, MSEA, MAM, MSM, and HASF entered into a MOU, approved by the City Commission by
Resolution No. 08-0290, adopted May 22, 2008, that sets forth the parties' intent to develop the Museum Park
Project in Bicentennial Park (the "Project"). The Project consists of the Museum Component, consisting of the
MAM building, the MSM building (which will provide space to the HASF) and Museum parking, and the Park
Component, which includes the Park and related parking.
The MOU provides that each museum (collectively, the "Museums") will develop its own facility, each on four
(4) acres of land (collectively, the "Museum Parcels"), as contemplated in the Master Plan approved by the
City Commission pursuant to Resolution No. 08-0126, adopted March 13, 2008, and for the City to develop the
Park Component on approximately twenty-one (21) acres. The MOU provides for the City to lease the Museum
Parcels to MSEA, and for MSEA to sublease the parcels to the Museums. The MOU is a non -binding
agreement which expresses the intent of the parties and establishes the basic terms of certain definitive
documents which will be brought back to the MSEA board and the City Commission.
The Museum Park Project is a part of a plan to revitalize the City of Miami. It is funded, in part, by Miami -
Dade County Building Better Communities General Obligation Bond Program, which has been approved by
the voters.
The City Attorney has opined that the City may lease the Museum Parcels directly to the Museums, without the
involvement of MSEA, because the Project constitutes a project of government agencies, in that it involves the
City, the County and potentially the Omni CRA.
To implement the Project in a more efficient manner, by decreasing the complexity and simplifying the
negotiation and execution of the definitive documents, the City wishes, through this Resolution, to authorize
the negotiations of the definitive documents directly between the City and the Museums, without the
involvement of MSEA.
