This GRANT AGREEMENT is entered into between the Office of Community and Economic
Development, a Department of Miami Dade County government, located at 140 West Flagler
Street, Suite 1100, Miami, FL, 33130, hereafter referred to as "OCED" and
Ai ()�'�} ' hereafter referred to as the "Recipient".
NOW, THEREFORE, Recipient agrees to grant funds under the following conditions:
1. USE OF GRANT FUNDS
The Recipient shall use the funds for either:
• Business training
• The purchase of Inventory/Supplies
• Business Equipment (excludes purchase of work vehicle)
• Marketing/Advertising
• Security Systems
• Commercial Liability Insurance
• Minor Interior/Exterior Renovations (as defined and approved by OCED)
The recipient must use these funds only for the business listed herein. The funds may
be used only for the activities listed; any other use is prohibited. Use of these funds
or any purpose other than those listed herein, shall make Recipient liable for
repayment of the entire grant amount.
The Recipient agrees to adhere to and be governed by the satisfactory performance of
all items as stated above, subject to the review and acceptance of OCED.
2. GRANT PERIOD
This Grant -Agreement shall be in effect during the period D / � and

be completed by the grant expiration date. The Recipient shall forfeit any grant funds,
which have not been expended by and/or requested by an acceptable invoice or quote
by the gr3nt's expiration date.

3. GRANT AMOUNT
The maximum amount of this grant is S 10,080. Any amount riot e Tended or
requested by an acceptable invoice or quote before the expiration dame bay not be
awarded to the Recipient
4. METHOD OF DISBURSEMENT
,The recipient has sixty (60) days from the date after signing the Grant Ag reement in
which to submit all payment requests and related supporting document; tailing the
amount of the approved grant.
Under no circumstances shall grant funds be made payable in the tint se of the
Recipient Funds will be made payable only in the name of the authorize( vendors.
Only after the Recipient submits an original invoice or quote, executed W-9 and
authorization form, will checks be released on the behalf of the Recipient.
5. TRANSFER OF OWNERSHIP OF THE BUSINESS
This grant is awarded on the condition that the Recipient maintains ownerst ip of the
business for a period of eighteen (18) months from the effective date of this
agreement. If the Recipient transfers ownership of the business before the e. ;piration
of the eighteen -month (18) period, then the total amount awarded un ler this
agreement can be due and payable to Miami -Dade Board of County Commis oners.
6. TERMS AND CONDITIONS
The Recipient is sub** to all Miami -Dade County regulatory requirewents 'elating
to this Grant Agreement. For the purpose of this program, this Grant Agree= ent is a
County Contract.
Recipient is responsible for any insurance or other fringe benefits, e.g., social
security, income tax withholdings, retirement or leave benefits, for the Recip tent or
employees of the Recipient that are normally available to direct employees of the
Recipient. The Recipient assumes full responsibility for the provision of all
insurances and fringe benefits to him/herself and to employees retained by the
Recipient in order to satisfy this Grant Agreement Recipient agrees to compl: ' with
all reporting requests made by OCED pursuant to this grant.
7. INDEMNIFICATION
The Recipient shall indemmnify and hold harmless Miami -Dade County and its
officers, employees, agents and instrumentalities from any and all liability, loss es or
damages, including attorneys' fees and costs of defense, which Miami -Dade Cc unty
or its officers, employees, agents or instrumentalities that may occur as a remit of
claims, demands, suits, causes of actions or proceedings of any kind or nature arsing
out of relating to or resulting from the performance of this Agreement by the
Recipient or its employees, agents, servants, partners, principals or subcontrac ors.

Miami -Dade County, where applicable, including appellate proceedings, and shall
pay all costs, judgments and attorney's fees which may issue thereon. The recipient
expressly understands and agrees that any insurance protection required by this
Agreement or otherwise provided by the Recipient shall in no way limit the
responsibility to indemnify, keep and save harmless and defend Miami -Dade County
or its officers, employees, agents and instrumentalities as herein provided.
8. TERMINATION
Recipient agrees to comply with the purpose of this Grant Agreement. Failure to do
so by the Recipient or violation of any terms and conditions of this Grant Agreement
by the Recipient shall warrant termination of this Brant Agreement.
9. CLOSEOUT
OCED must receive the final request for payment from the Recipient no more than
sixty (60) calendar days after the expiration or termination of this contract. If the
Recipient fails to comply with this requirement, the Recipient will forfeit all rights to
payment(s).
NOTICE: Whereas this Grant Agreement and all otbcr documentation pertaining to the
pr tgram is not binding unless Recipient is approved for fending and Grant Agreement is
sig lied by Recipient, witness(es) and County designated representative.
IN WITNESS THEREOF, the parties hereto have caused this three (3) page Grant
AQ recrnent to be executed by their undersigned officials a; duly authorized.
