The individuals below are being considered to fill the vacancy onthe 'Board `of l rustees"of"the
Virginia Key Beach Park Trust. The vacancy was created with the resignation of Life Trustee
Eugenia B. Thomas. The relevant section of the Trust's Bylaws related to qualifications of
Trustees is attached.

Section 3.4. Qualifications of Trust Members.
No Trustee shall be an officer of, or shall hold any elective office in the City of Miami, Florida. Should
any member of the Trust qualify as a candidate for elective political office, such qualification shall be
deemed a tender of resignation from the Trust. Unless the City Commission by four -fifths vote of its
membership waives the requirement that Trust members either reside in the City, own real property in the
City or maintain a business or work in the City, any member of the Trust who ceases to be a resident of
the City and/or ceases to work, own real property or maintain a business in the City during the term of his
or her office shall immediately advise the City Clerk. Whenever a Trust member ceases to be in
compliance with said membership eligibility requirements the Trust member shall be automatically
removed from the Trust. All members of the Trust shall be individuals of outstanding reputation for
integrity, responsibility and commitment to serving the community, have a demonstrated interest in the
future of the Park and in the implementation of the vision of the Public Planning Charrette and shall either
reside, work, own real property or own a business in the City of Miami. Appointed members are expected
to participate actively in the functioning of the Trust.

Nominating Committee of the Virginia Key Beach Park Trust

At the first meeting of the nominating committee, we came up with a list of criteria for the potential
candidate. There is no official criteria in place; this was just a list of traits we feel the candidate should
possess corisidenng where the Trusfis and wliai our responsibility wii1be as we'move forward_`"There are
specific requirements in the ordinance though related to residency, term of office and holding alternate
office etc.
The prospective Trustee should:
Be relatively young, energetic and someone that can be entrusted with the legacy of Virginia Key
Beach Park. This is not an attempt to set age restrictions, but instead to bring in younger participants, and
not just on the board, but involved in other aspects of the Trusts operations. Likewise, a new generation
needs to be educated about the history, value and place that the site occupies in the community, and
become committed to maximizing its importance and value to South Florida
Possess fundraising experience. As the museum gets built, the Trust's role will transition into one
that will be primarily focused on identifying and generating support for the museum, the park and all of
their operations. Foremost will be establishing an endowment.
Understand, know and respect the story of the beach/park including an awareness of the dangers
of corporate support and a respect for the work that has gone ahead.
Embrace greater youth involvement while maintaining the historical and cultural integrity of the
Beach/Park
Has a connection with the community to be better able to generate support
Understand that this is a Historic Preservation Project and value it.
Be willing and able to work with others
ESTABLISHING ORDINANCE
a. Membership eligibility requirements.
(1) Each member of the trust shall reside, work, own real property or maintain a business in the city and
shall be an individual of outstanding reputation for integrity, responsibility and commitment to serving
the community and have a demonstrated interest in the future of the park and in implementing the
vision of the Trust and of the Public Planning Charrette. Appointed members are expected to
participate actively in the functioning of the trust. the chairperson of the trust shall have the power to
appoint all members serving on the various committees which the trust shall establish from time to
time.
(2) Unless the city commission by four -fifths vote of its membership waives the requirement that trust
members either reside in the city, own real property in thecity or maintain a business in the city, any
member of the trust who ceases to be a resident of the city and/or ceases to work, own real property or
maintain a business in the city during the term of his or her office shall immediately advise the city
clerk. The city clerk shall inform the city commission and the trust whenever a trust member has
ceased to be in compliance with said membership eligibility requirements and the trust member shall
be automatically removed from the trust. The city clerk shall then inform the city commission in
writing that the position has been declared vacant. Upon being advised by the city clerk of such
circumstances, an appointment to fill the vacancy shall be made in accordance with subparagraph (b)
hereinabove.
(3) No member of the trust shall become a candidate for elective political office during his or her term.
Should any member of the trust qualify as a candidate for elective political office, such qualification
shall be deemed a tender of resignation from the trust.
(4) No employee of Miami -Dade County, Florida, or any municipality therein other than city employees,
shall serve on or be appointed to the trust.
