A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY
ATTORNEY TO ESTABLISH (1) THE FOLLOWING LIST FOR QUALIFIED BOND
COUNSEL FIRMS: AKERMAN SENTERFITT, BRYANT MILLER OLIVE P.A., FOLEY
AND LARDNER LLP, SQUIRE, SANDERS & DEMPSEY L.L.P.; AND (2) THE
FOLLOWING LIST FOR QUALIFIED DISCLOSURE COUNSEL FIRMS: AKERMAN
SENTERFITT, BRYANT MILLER OLIVE P.A., FOLEY AND LARDNER LLP,
KNOXSEATON, SQUIRE, SANDERS & DEMPSEY L.L.P., FROM WHICH LISTS
THE CITY ATTORNEY SHALL SELECT INDIVIDUAL FIRMS FROM TIME TO TIME
TO REPRESENT THE CITY AS BOND COUNSEL AND AS DISCLOSURE
COUNSEL.
WHEREAS, the City Commission approved Resolution No. 08-0198 on April 10, 2008 authorizing
the City Attorney to issue a Request for Qualifications for qualified Bond Counsel firms and qualified
Disclosure Counsel firms and to establish a list comprising not more than five (5) law firms qualified to
provide Bond Counsel and Disclosure Counsel services to the City of Miami ("City"); and
WHEREAS, the firms deemed to be the most qualified in accordance with the requirements of the
Request for Qualifications to provide Bond Counsel services to the City are Akerman Senterfitt,
Bryant Miller Olive P.A., Foley and Lardner LLP, and Squire, Sanders, & Dempsey L.L.P.; and
WHEREAS, the firms deemed to be the most qualified in accordance with the requirements of the
Request for Qualifications to provide Disclosure Counsel services to the City are Akerman Senterfitt,
Bryant Miller Olive P.A., Foley and Lardner LLP, KnoxSeaton, and Squire, Sanders, & Dempsey
L.L.P.;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Attorney is authorized to establish (1) the following list of qualified Bond
Counsel firms: Akerman Senterfitt, Bryant Miller Olive P.A., Foley and Lardner LLP, and Squire,
Sanders, & Dempsey L.L.P.; and (2) the following list of qualified Disclosure Counsel firms: Akerman
Senterfitt, Bryant Miller Olive P.A., Foley and Lardner LLP, KnoxSeaton, and Squire, Sanders, &
Dempsey L.L.P.
Section 3. The City Attorney shall, from time to time, select individual firms from the lists of
qualified Bond Counsel and qualified Disclosure Counsel to provide said services to the City.
Section 4. This Resolution shall become effective immediately upon its adoption and signature of

the Mayor.{1}
Footnotes:
{1} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days for the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
