A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A LICENSE AGREEMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE CITY OF MIAMI
("LICENSEE") AND BRICKELL KEY CENTER, A DELAWARE LIMITED
PARTNERSHIP, FOR THE USE OF APPROXIMATELY 352 SQUARE FEET OF
SPACE ON THE GROUND FLOOR OF PROPERTY LOCATED AT 601 BRICKELL
KEY DRIVE, MIAMI, FLORIDA, AS A STORAGE FACILITY, TO PROVIDE FOR THE
FOLLOWING: 1) A THREE-YEAR TERM COMMENCING RETROACTIVE TO APRIL
15, 2008 TO APRIL 14, 2011, WITH OPTIONS TO EXTEND ANNUALLY, SUBJECT
TO THE MUTUAL CONSENT OF THE PARTIES AND 90-DAY PRIOR WRITTEN
NOTICE; 2) LICENSEE SHALL NOT BE REQUIRED TO PAY MONTHLY USE
FEES, A SECURITY DEPOSIT, OR UTILITIES DURING THE TERM; AUTHORIZING
THE CITY MANAGER TO EXECUTE AMENDMENTS TO SAID LICENSE
AGREEMENT, AS NECESSARY, WITH ADDITIONAL TERMS AND CONDITIONS
AS MORE PARTICULARLY SET FORTH IN SAID LICENSE AGREEMENT.
WHEREAS, Brickell Key Center, a Delaware limited partnership operating in the State of
Florida ("Owner"), is the owner of property located in the Courvoisier Centre II at 601 Brickell Key
Drive, Miami, Florida, 33131 ("Building"); and
WHEREAS, the City of Miami ("Licensee") is interested in the use of approximately 352
square feet of space ("Area") on the ground floor of the Building for storage of City of Miami Police
Department bicycles as part of its bike patrol; and
WHEREAS, the License Agreement is for a three-year term, with options to extend annually
subject to the mutual agreement of the parties, and the Licensee providing a written request within
90-days prior to the expiration of the term, and the Licensee not paying a monthly use fee, a security
deposit, or utilities; and
WHEREAS, the Owner and Licensee desire and intend to enter Into a License Agreement for
said purpose;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized{1} to execute a License Agreement, in substantially
the attached form, between the Licensee and the Owner, for the use of approximately 352 square
feet of space of the building, located on the ground floor of the Building, for the storage of City of

Miami Police Department bicycles, to provide for the following: 1) a three-year term commencing
retroactive to April 15, 2008 to April 14, 2011, with options to extend annually, subject to the mutual
consent of the parties and 90-day prior written notice; 2) Licensee shall not pay a monthly use fee,
security deposit, or utilities during the term, with additional terms and conditions as more particularly
set forth in the License Agreement.
Section 3. The City Manager is authorized{1} to execute amendments to said License
Agreement as necessary.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.{2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City
Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City Commission.
