HomeMy WebLinkAboutExhibit 3EXHIBIT B RULES AND REGULATIONS 1. Nothing shall be attached to the outside walls of the Building. Other than Building standard blinds, no curtains, blinds, shades, screens or other obstructions shall be attached to or hung in or used in connection with any exterior window or entry door of the Area, without the prior consent of Owner. 2. No sign, advertisement, notice or other lettering visible from the exterior of the Area shall be exhibited, inscribed, painted or affixed to any part of the Area without the prior written consent of Owner. All lettering on doors shall be inscribed, painted or affixed in a size, color and style acceptable to Owner. 3. The grills, louvers, skylights, windows and doors that reflect or admit light and/or air into the Area or common areas shall not be covered or obstructed by Licensee, nor shall any articles be placed on the window sills, radiators or convectors. 4. Owner shall have the right to prohibit any advertising by any Licensee which, in Owner's opinion, tends to impair the reputation of the Building, and upon written notice from Owner, Licensee shall refrain from or discontinue such advertising. 5. The Common Areas shall not be obstructed or encumbered by any Licensee or used for any purposes other than ingress of egress to and from the Area and for delivery of merchandise and equipment in a prompt and efficient manner, using elevators and passageways designated for such delivery by Owner. 6. Except in those areas designated by Licensee as "security areas," all locks or bolts of any kind shall be operable by the building's master key. No locks shall be placed upon any of the doors or windows by Licensee, nor shall any changes be made in locks or the mechanism thereof which shall make such locks inoperable by the Building's Master Key. Licensee shall, upon the termination of its License, deliver to Owner all keys of stores, offices and lavatories, either furnished to or otherwise procured by Licensee and in the event of the loss of any keys furnished by Owner, Licensee shall pay to Owner the cost thereof. 7. Licensee shall keep the entrance door to the Area closed at all times. 8. All movement in or out of any freight, furniture, boxes, crates or any other large object or matter of any description must take place during such times and in such elevators as Owner may prescribe. Owner reserves the right to inspect all articles to be brought into the Building and to exclude from the Building all articles which violate any of these Rules and Regulations or the License. Owner may require that any person leaving the public areas of the Building with any article to submit a pass, signed by an authorized person, listing each article being removed, but the establishment and enforcement of such requirement shall not impose any responsibility on Owner for the protection of any Licensee against the removal of property from the Area. 9. All hand trucks shall be equipped with rubber tires, side guards and such other safeguards as Owner may require. 10. No Licensee Party shall be permitted to have access to the Building's roof, mechanical, electrical or telephone rooms without permission from Owner. Licensee shall not permit or suffer the Area to be occupied or used in a manner offensive or objectionable to Owner or other occupants of the Building by reason of noise, odors, vibrations or interfere in any way with other Licensees or those having business therein. 12. Licensee shall not employ any person or persons other than the janitor of Owner for the purpose of cleaning the Area, unless otherwise agreed to by Owner. Licensee shall not cause any unnecessary labor by reason of such Licensee's carelessness or indifference in the preservation of good order and cleanliness. 13. Licensee shall store all its trash and recyclables within its Area. No material shall be disposed of which may result in a violation of any requirement. All refuse disposal shall be made only though entry ways and elevators provided for such purposes and at such times as Owner shall designate. Licensee shall use the Building's hauler. 14. Licensee shall not deface any part of the Building. No boring, cutting or stringing of wires shall be permitted, except with prior consent of Owner, and as Owner may direct. 15. The water and wash closets, electrical closets, mechanical rooms, fire stairs and other plumbing fixtures shall not be used for any purposes other than those for which they were constructed and no sweepings, rubbish, rags, acids or other substances shall be deposited therein. All damages resulting from any misuse of the fixtures shall be borne by Licensee where a Licensee Party caused the same. 16. Licensee, before closing and leaving the Area at any time, shall see that all lights, water faucets, etc. are turned off. All entrance doors in the Area shall be kept locked by Licensee when the Area is not in use. 17. No bicycles, in -line roller skates, vehicles or animals of any kind (except for seeing eye dogs) shall be brought into or kept by_any Licensee in or about the Area or the Building. 18. Canvassing or soliciting in the Building is prohibited. 19. Employees of Owner or Owner's Agent shall not perform any work or do anything outside of the regular duties, unless under special instructions from the office of Owner or in response to any emergency condition. 20. Licensee is responsible for the delivery and pick up of all mail from the United States Post Office. 21. Owner reserves the right to exclude from the Building during other than ordinary business hours all persons who do not present a valid Building pass. Licensee shall be responsible for all persons for whom a pass shall be issued at the request of Licensee and shall be liable to Owner for all acts of such persons. 22. Licensee shall not use the Area for any purpose that may be dangerous to persons or property, nor shall Licensee permit in, on or about the Area or Building items that may be dangerous to persons or property, including, without limitation, firearms or other City of Miami (Police) License for Building Use 5-22-08 (3) (3) B-2 weapons (whether or not licensed or used by security guards) or any explosive or combustible articles or materials. 23. No smoking shall be permitted in, on or about the Area, the Building or the real property. 24. Owner shall not be responsible to Licensee or to any other person or entity for the non -observance or violation of these Rules and Regulations by any other licensee or other person or entity. Licensee shall be deemed to have read these Rules and Regulations and to have agreed to abide by them as a condition to its occupancy of the Area. 25. The review/alteration of Licensee drawings and/or specifications by Owner's Agent and any of its representatives is not intended to verify Licensee's engineering or design requirements and/or solutions. The review/alteration is performed to determine compatibility with the building systems and license conditions. Licensee renovations must adhere to the Building's applicable standard operating procedures and be compatible with all building systems.
