A RESOLUTION OF THE MIAMI CITY COMMISSION ESTABLISHING THE
MUSEUM PARK COMMUNITY BENEFITS COMMITTEE (THE "COMMITTEE"),
PURSUANT TO THE CITY COMMISSION'S DIRECTIVES OF MAY 22, 2008 AND
JUNE 14, 2007, FOR A TERM TO BEGIN UPON APPOINTMENT OF ITS
MEMBERS AND TO END UPON ACCEPTANCE BY CITY COMMISSION OF THE
COMMITTEE'S FINAL REPORT OR THE MUSEUMS OPENING, WHICHEVER IS
LATER; AUTHORIZING THE CITY COMMISSIONERS, THE MIAMI SPORTS AND
EXHIBITION AUTHORITY, AND THE CITY MANAGER TO APPOINT THE
COMMITTEE MEMBERS AS SET FORTH BELOW; DIRECTING THAT THE
COMMITTEE MEET ON A MONTHLY BASIS AND REPORT TO THE CITY
COMMISSION ON A REGULAR BASIS REGARDING THE FULFILLMENT OF THE
TERMS AND CONDITIONS OF A COMMUNITY BENEFITS AGREEMENT TO BE
NEGOTIATED BY THE CITY MANAGER.
WHEREAS, the City Commission on June 14, 2007 and on May 22, 2008 has directed that the City
establish a Museum Park Community Benefits Committee (the "Committee") in connection with the
Memorandum of Understanding ("MOU"), authorized by Resolution No. 08-0290 on May 22, 2008, by
and among the City of Miami (the "City"), Miami Dade County (the "County"), the Miami Sports and
Exhibition Authority ("MSEA"), the Miami Arts Museum of Dade County Association, Inc. ("MAM"), the
Museum of Science, Inc. ("Science Museum"), and the Historical Association of Southern Florida, Inc.
("Historical Association"); and
WHEREAS, the MOU is a non -binding agreement which expresses the intent of the parties and
establishes the basic terms of certain definitive documents which will be brought back to the City
Commission and to the MSEA Board, including the Lease, the Subleases, a Master Development
Agreement, and a Master Management Agreement, and the City Commission has directed that the
Committee be involved with providing community input into the overall development and construction
of the Museum Park area, the proposed City park, and the proposed buildings for MAM, the Science
Museum, and the Historical Association; and
WHEREAS, MAM and the Science Museum have applied to the City for certain funding from the
City's Homeland Defense/Neighborhood Improvements Bond Program and the City Commission has
directed that in connection with the project co-operative agreements for MAM and the Science
Museum that certain conditions be met, including the establishment of the Committee to report to the
City Commission; and
WHEREAS, the City Commission has further directed that the Committee include individuals
knowledgeable regarding community programs and services, artists galleries, exhibitions, events,
education, cultural arts, and related fields for the Museum Park project and future programs, services,
and community events; and
WHEREAS, the City Commission has further directed that the Committee shall be charged with

overseeing the fulfillment of the terms and conditions of a Community Benefits Agreement to be
negotiated by the City Manager with MAM, the Science Museum and the Historical Society;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The Museum Park Community Benefits Committee (the "Committee") is established,
pursuant to City Commission Directives of May 22, 2008 and June 14, 2007, for a term to begin upon
appointment of its members and to end upon acceptance by City Commission of the Committee's final
report or the Museums opening, whichever is later.
Section 3. Each City Commissioner, the Miami Sports and Exhibition Authority ("MSEA"), and the
City Manager are authorized to appoint the members of the Committee as follows: each City
Commissioner shall appoint one (1) resident from his/her district; MSEA shall appoint one
representative; the City Manager shall appoint a designee, a representative from MAM, a
representative from the Science Museum, and a representative from the Historical Museum.
Section 4. The Committee shall meet on a monthly basis and shall report to the City Commission
regularly.
Section 5. The Committee is charged with overseeing the fulfillment of the terms and conditions of
a Community Benefits Agreement to be negotiated by the City Manager with MAM, the Science
Museum and the Historical Society.
Section 6. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{1 }

Footnotes:
{1} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
