The undersigned certify that, at a special meeting of the Board of Directors of the MODEL CITY
COMMUNITY REVITALIZATION DISTRICT TRUST, a Limited Agency and Instrumentality of
the CITY OF MIA.1 11 (hereinafter referred t o as t he 'Trust"), d my h eld at i is o ffice o n O CTOBER
, 2006, at which a quorum was present and acting throughout, pursuant to the authority
granted to the undersigned under the terms and provisions of the Trust, the following resolutions were
duly moved, seconded and adopted:
RESOLVED:
That it is a material benefit to and in the best interest of the Trust to convey those certain
parcels of real estate located as described on Exhibit "A" attached hereto and made a part
hereof (the "Property"), to the CITY OF MIA1 ll (the "City").
RESOLVED:
That the Cite Manager of the City of Miami is hereby authorized to execute and deliver
any and all closing documentation on behalf of the Trust incident to the conveyance of the
Property to the City, as such City Manager of the City of Miami may deem advisable. It is
further,
I FURTHER CERTIFY that the foregoing Resolutions remain in full force and effect, have not
been rescinded or modified, and conform to the organizational documents of the Trust.
IN WITNESS WHEREOF, we have hereunto set our hands as all of the members of the Board of
