Purpose of Item:
A Resolution of the City of Miami Commission, authorizing the City Manager to execute a
Concession Agreement ("Agreement"), in substantially the attached form, between the City of Miami
and Darien Foods, Inc., d/b/a Tropics ("Concessionaire") for the use of a concession facility and for
additional vending machine and catering uses in a portion of Grapeland Aquatic Center located at
Grapeland Heights Park at 1550 NW 37th Avenue, Miami, Florida, for a three year term, with two
additional one year renewal terms; and providing for the payment of a monthly Use Fee ("Use Fee")
of $250,00, with a monthly Percentage Fee ("Percentage Fee") based on 1 0% of gross revenues for
each calendar month, with terms and conditions as more particularly set forth in Agreement.

Subject: Execute a Concession Agreement ("Agreement") between the City of Miami ("City") and
Karlen Foods, Inc. for the use of a portion of the Grapeland Aquatic Center located at Grapeland
Heights Park at 1550 NW 37th Avenue, Miami, FL
Background Information:
The City Administration issued a Request for Letters of Interest (RFLI) on February 8, 2008 to solicit
proposals from prospective Concessionaires interested in providing food and beverage services through
a concession facility and additional catering, vending machine and vending carts or kiosks at the newly
built Grapeland Aquatic Center within Grapeland Heights Park located at 1550 NW 37th Avenue,
Miami, Florida. On March 3, 2008. the City received three Proposals, including one (1) responsive
proposal from Karlen Foods, Inc. and two (2) non -responsive Proposals from Maura Rodriguez and
Mayte Gonzalez respectively.
The City Manager approved the selection of a three person Evaluation Committee comprised of one city
employee and Parks and Recreation Department administrators from Broward County and Miami -Dade
County. The Evaluation Committee ("Committee") met on Monday, March 17, 2008 and recommended
the selection of Karlen Foods, Inc. as the winning Concessionaire ("Concessionaire"), providing that
City staff negotiate an increase in the Concessionaire's original percentage fee portion of the
Concessionaire's proposal of 5% of gross revenues to up to 10% of gross revenues.
In the event that negotiations with the recommended Concessionaire fails, the Committee recommended
reissuance of the RFLI. The City Manager approved the recommendation of the Evaluation Committee
and is now recommending that the City Commission authorize the City Manager to execute a
Concession Agreement with the Concessionaire.
Highlights of the Agreement are as follows:
Term: 3 years with the option to renew for two additional 1-year periods, subject to
approval by the City.
Concession Fee: $250/mo. plus 10% of gross revenues
Use:
Provide food, beverages and sundries to patrons of the Grapeland Aquatic Center.
Concessionaire shall be permitted to utilize the premises during the off-season for
catering activities, at hours to be mutually agreed upon by the Parks Director in
his sole discretion.
Equipment: Concessionaire shall be responsible for the repair and maintenance of the
concession equipment.
Utilities: Concessionaire shall pay for all gas consumed at the premises. City shall provide
electric, garbage collection and water and sewer.
Performance Reviews: There will be an initial review of Concessionaire's performance at the end of the
first season. In the event the performance is unsatisfactory, the City shall have the
right to terminate this Agreement, without cure, upon providing 15 days written
notice to Concessionaire. Thereafter, reviews shall be conducted no less than
once a year.

Termination by City With Cause: City may terminate the Agreement with cause, upon providing 30
days written notice to the Concessionaire and an opportunity to cure.
Termination by City Without Cause: The City may terminate the Agreement without cause upon
providing 45 days written notice to the Concessionaire.
Termination by Concessionaire With Cause: Concessionaire may terminate the Agreement should the
City default on its obligations and upon providing 90 days written notice to City.
