A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY
A FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED
PUBLIC HEARING, RATIFYING, APPROVING, AND CONFIRMING THE CITY
MANAGER'S FINDINGS AND RECOMMENDATION, PURSUANT TO SECTION
18-85 OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED;
WAIVING THE REQUIREMENTS FOR COMPETITIVE SEALED BIDDING
PROCEDURES, FOR THE PROCUREMENT OF BANKING
SERVICES -CITY-WIDE; AUTHORIZING THE CITY MANAGER TO EXECUTE AN
AMENDMENT, IN SUBSTANTIALLY THE ATTACHED FORM, TO THE
AGREEMENT WITH WACHOVIA BANK N.A., FOR SAID PURPOSE; EXTENDING
THE TERM ON A MONTH TO MONTH BASIS, EFFECTIVE DECEMBER 1, 2007,
UNDER THE SAME TERMS, CONDITIONS, AND PRICES OF THE CURRENT
AGREEMENT UNTIL ISSUANCE OF A NEW REQUEST FOR PROPOSALS,
AWARD OF THE REQUEST FOR PROPOSALS TO THE SUCCESSFUL
PROPOSER, EXECUTION OF AN AGREEMENT, AND BANKING SYSTEM
INTERFACES ARE COMPLETED.
WHEREAS, pursuant to Resolution No. 01-1140, adopted October 25, 2001, the City Commission
authorized the City Manager to enter into a Professional Services Agreement with Wachovia Bank
N.A., for Banking Services -City-wide; and
WHEREAS, on September 23, 2004, the City Commission adopted Resolution No. 04-0626,
authorizing the assignment of the Professional Services Agreement ("Agreement") from First Union
Bank of Florida to Wachovia Corporation; and
WHEREAS, the Agreement is scheduled to expire on November 30, 2007; and
WHEREAS, the City of Miami, ("City") is currently developing the Request for Proposals ("RFP")
for banking services; and
WHEREAS, the City Commission had determined it to be in the best interest of the City to extend
the Agreement with Wachovia Bank N.A. ,while it develops the RFP and allows time to test electronic
file formats;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.

Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing, the City
Manager's findings and recommendation, pursuant to Section 18-85 of the Code of the City of Miami,
Florida, as amended, waiving the requirements for competitive sealed bidding procedures, for the
procurement City-wide Banking Services, are ratified, approved and confirmed.
Section 3. The City Manager is authorized{1} to execute an Amendment, in substantially the
attached form, to the Agreement with Wachovia Bank N.A, for said purpose, extending the term, on a
month to month basis, effective December 1, 2007, under the same terms, conditions, and prices of
the current Agreement, until issuance of a new Request for Proposals, award of the Request for
Proposals to the successful proposer, execution of an Agreement, and banking system interfaces are
completed.
Section 4. This Resolution shall become effective immediately upon its adoption and signature by
the Mayor. {2}

Footnotes:
(1)The herein authorization is further subject to compliance with all requirements that may be imposed
by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.
(2) If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
