A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
ACCEPTING THE RECOMMENDATION OF THE CIVILIAN INVESTIGATIVE
PANEL ("CIP") AND THE CITY MANAGER APPROVING THE FINDINGS OF THE
EVALUATION COMMITTEE, PURSUANT TO REQUEST FOR PROPOSALS
("RFP") NO. 32054, THAT THE SOLE PROPOSER, HARVEY, COVINGTON &
THOMAS, LLC, IS QUALIFIED TO PROVIDE EXTERNAL AUDITING SERVICES
FOR THE CIP; AUTHORIZING THE EXECUTIVE DIRECTOR OF THE CIP TO
NEGOTIATE AND EXECUTE A PROFESSIONAL SERVICES AGREEMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, FOR AN INITIAL PERIOD OF TWO (2)
YEARS, WITH THE OPTION TO RENEW FOR THREE (3) ADDITIONAL ONE (1)
YEAR PERIODS, IN AN ANNUAL AMOUNT NOT TO EXCEED $9,500, FOR THE
FIRST YEAR, $10,000, FOR THE SECOND YEAR, $12,000, FOR THE THIRD
YEAR, AND $12,500, FOR THE FOURTH AND FIFTH YEAR, FOR A TOTAL
CONTRACT AMOUNT NOT TO EXCEED $56,500; ALLOCATING FUNDS FROM
ACCOUNT CODE NO. 12100.950101.532000.
WHEREAS, Request for Proposal ("RFP") 32054 was issued to secure External Auditing Services
for the Civilian Investigative Panel ("CIP"); and
WHEREAS, well over thirty (30) registered suppliers were notified and the RFP was advertised in
newspapers of general circulation; and
WHEREAS, one (1) Proposal was received and evaluated by the Evaluation Committee; and
WHEREAS, the Evaluation Committee determined that the sole proposer, Harvey. Covington &
Thomas, L.L.C., was qualified to provide External Auditing Services to the CIP; and
WHEREAS, the Evaluation Committee recommended to the CIP's Executive Director to negotiate
the terms, conditions, and prices with Harvey, Covington, & Thomas, L.L.C.; and
WHEREAS, the Executive Director and the CIP concurred with the findings of the Evaluation
Committee; and
WHEREAS, the terms, conditions, and prices have been negotiated with Harvey, Covington, &
Thomas, L.L.C., in substantially the attached form;and
WHEREAS, the fees paid for last year's audit to the previous auditing firm, Sharpton & Brunson,
were $12;875; and
WHEREAS, it has been deemed by the City of Miami ("City") that the negotiated fees with Harvey,
Covington, & Thomas, L.L.C., are fair and reasonable; and

WHEREAS, the Evaluation Committee met, evaluated, and recommended that the City negotiate
and execute a contract with the sole proposer Harvey, Covington, & Thomas, L.L.C., for a period of
two (2) years, with the option to extend for three (3) additional one (1) year periods;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The CIP and City Manager's recommendation to approve the findings of the Evaluation
Committee, pursuant to RFP No. 32054, that the sole proposer, Harvey, Covington, & Thomas, L.L.C.,
is qualified to provide external auditing services for the CIP, is accepted.
Section 2. The CIP Executive Director is authorized{1} to negotiate and execute a Professional
Services Agreement with Harvey, Covington, & Thomas, L.L.C., in substantially the attached form, for
an initial two (2) year period, with the option to renew for three (3) additional one (1) year periods, in an
annual amount not to exceed $9,500, for the first year, $10,000, for the second year, $12,000, for the
third year, and $12,500, for the fourth and fifth year, for a total contract amount not to exceed $56,500,
with funds allocated from Account Code No. 12100.950101.532000.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}

{1} The herein authorization is further subject to compliance with all requirements that may be
irnposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
