Quotation Thursday, July 05, 2007 Page 5 of 8 EM ERSON 'work lPuka tr 1 122 F Street Lorain, OH 44052 www.emersonnetworkpower.com Quote#: 0022635468 General Assumptions Delays Any delays caused by the customer and/or any of its agents or contractors that results in downtime for Emerson will result in a price adjustment at the "downtime rate" of $75/hour per person, including but not limited to: Customer initiated schedule changes without at least 72-hour notification. Lack of access to building. Lack of coverage by customer representative during maintenance window. Missing/late customer supplied material. Material Delivery/Storage - Unless specified in quotation, pricing does not include special delivery services (i.e, cranes, hoisting equipment, etc.). Unless otherwise specified in this proposal, the customer shall provide adequate and secure on -site storage for the equipment and material associated with this project. In the event adequate on -site storage is not available, additional storage and delivery charges may apply. Consolidation and storage costs included in this proposal for Emerson famished equipment and materials are based on a one -month period. A price adjustment may be incurred if customer delays in the project extend the storage period beyond one month. In the event that material is to be supplied by the customer, all such material will be delivered to the job site not less than 48 hours prior to installation of the required materials. Emerson will bear no responsibility for quantities generated by others, specifications, or suitability of purpose. The customer is responsible for reconciling material shortages or defects in an expedient manner to avoid downtime. Title and risk of loss shall remain with customer. For customer provided material and equipment, all garbage will be placed in a customer provided dumpster or trash container. Emerson will not be responsible for accepting delivery of material supplied by others at the installation site. Miscellaneous The majority of work will be accomplished in a normal 40-hour workweek (M-F, 7AM to 4PM) unless otherwise agreed upon, Transition and "hot" power cuts work will normally be performed between the hours of midnight to 6:00 AM Customer coverage for this work is required and for efficiency reasons should be a minimum of six consecutive hours per evening. Unless otherwise noted, the pricing submitted in this quotation is based on the total award of the project. Selection of individual pieces for purchase may require a price adjustment. Parking shall be provided for Emerson crews. Unless specified in quotation, Emerson will not be responsible for any required permits, rights of way, zoning etc. The customer's personnel who may affect either the completion and/or acceptance of an EF&I project should be present at the initial MOP meeting, Emerson assumes that the work environment will be free from hazardous materials and conditions. If Emerson encounters any hazardous material or conditions while performing the work, Emerson will cease work immediately and contact the customer for resolution. Unless specified in quotation, Emerson will bear no responsibility for AC electrical requirements. Unless specified in quotation, others will perform all core drilling. Emerson assumes the customer or its agents have evaluated all floor -loading requirements and that floors and ceilings are adequate to support materials and equipment being installed. All equipment removed from service will be placed in a designated area on site and left for the customer to dispose of unless otherwise specified in this quotation. Customer shall provide ample electrical sources for the purpose of operating electrical tools and test equipment. Pricing Please reference the quotation number listed on this quotation on all purchase ordersrTEOs. Pricing is based on utilizing non -union labor. Pricing is valid for 90 days from date on quotation for all items with the exception of installation material. Installation material pricing is valid for 30 days from date on quotation. Pricing does not include sales tax. Pricing assumes free and unobstructed access to the site by Emerson' Crews, Project Change Orders (PCOs) - Emerson reserves the right to other updated pricing based on any customer requested changes to the scope of work or additional work required due to unexpected site conditions. Prior to commencing installation, the customer must provide a single point of contact with the authority to approve project changes. All proposed changes to the Statement of Work must be approved and signed by the customer before work can begin and/or materials are ordered. Any expedited shipment methods outside of "standard ground" that may be requested by the customer will only be utilized with signed approval of the customer and will result in a price adjustment. Standards and Drawings - This project has been quoted to the latest version of customer provided engineering and installation standards. When customer provided engineering and installations are not provided, Emerson shall perform to the standards set forth in Telcordia GR-1275. The project shall be executed in accordance with the customer provided engineering and installation standards, or GR-1275 standards, in effect on the date the quotation was issued. Customer to furnish all applicable updated office drawings as the office exists at the start of installation. Upon request, customer must supply at no charge all standard drawings of existing equipment that will be needed to interface with the new equipment. When new equipment is to be interfaced with existing equipment, (i.e. ring plants, power boards, converter plants, inverters, channel banks, switch and other frames, etc.), verification of operation by the customer is necessary to insure that the original equipment is operating properly, If verification by Emerson is required, a price adjustment may be incurred. The customer, prior to Emerson installation start date, must verify original alarm circuits that are being used. If verification by Emerson is required, a price adjustment may be incurred. Terms and Conditions Emerson Standard Terms and Conditions, attached herein, will apply to this project unless governed by a general agreement and referenced in the customer's purchase order.
