A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY
ATTORNEY TO EXECUTE THE NECESSARY DOCUMENT(S), TO EVIDENCE THE
CITY OF MIAMI'S ("CITY'S") WAIVER OF A POTENTIAL CONFLICT OF INTEREST
INVOLVING THE REPRESENTATION BY HOLLAND AND KNIGHT LLP ("H AND K"),
AS SPECIAL COUNSEL TO THE SOUTHEAST OVERTOWN/PARK WEST
COMMUNITY REDEVELOPMENT AGENCY AND H AND K'S REPRESENTATION
OF GENERAL GROWTH PROPERTIES IN A LEASE DISPUTE WITH THE CITY, AS
STATED HEREIN.
WHEREAS, Holland and Knight LLP ("H and K") currently represents the Southeast
Overtown/Park West Community Redevelopment Agency ("CRA") as special counsel in various
matters; and
WHEREAS, the CRA is a separate legal entity from the City of Miami ("City"), but in an
abundance of caution, H and K has requested a waiver from the City to allow H and K to represent
General Growth Properties in a matter adverse to the City; and
WHEREAS, the City Attorney has determined that a conflict waiver is required for H and K to
represent the CRA and for H and K to represent clients adverse to the City; and
WHEREAS, the City Attorney recommends that the City waive the potential conflict of interest
to enable H and K to represent General Growth Properties in connection with an arbitration
proceeding regarding a rent dispute between the City and General Growth Properties involving the
Bayside Market Place lease (the "Lease Dispute") which does not involve the CRA;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. The City Attorney is authorized to execute the necessary document(s), to evidence
the City's waiver of a potential conflict of interest involving H and K representing General Growth
Properties in connection with the Lease Dispute and simultaneously representing the CRA as special
counsel in connection with unrelated matters.
Section 3. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor.{1}

Footnotes:
{1} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City Commission.
