AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT
FOR
CONSTRUCTION ENGINEERING OBSERVATION SERVICES
MISCELLANEOUS, HORIZONTAL PROJECTS
This Amendment No. 1 to the , Professional Services Agreement authorized by
Resolution No. 04-0792, as amended, dated , (the "Agreement") between the City
of Miami, a municipal corporation of the State of Florida ("CITY"), and
("CONSULTANT") for the provision of Construction Engineering Observation Services on a
continuing basis for miscellaneous projects ("PROJECT") is entered into this day of
2007.
RECITALS
WHEREAS, the Agreement between the City and the Consultant limits the amount of
compensation to f $750,000 ; and
WHEREAS, the City wishes to increase the number of Projects for which the Consultant
will be required to continue to provide Services, and has requested the City Commission to
authorize an increase to the compensation limit of $600,000, from $750,000 to $1,350,000; and
WHEREAS, the City Commission has adopted Resolution No. 07- on July 10,
2007 approving a $600,000 increase in the amount of compensation that the City may pay the
Consultant under the Agreement. s
NOW THEREFORE, in consideration of the foregoing, the parties hereby amend the Agreement
as follows:
Article 2. General Conditions, Section 2.04-1 Compensation Limits
The amount of compensation payable by the CITY to CONSULTANT shall generally be
a lump sum or not to exceed fee, based on the rates and schedules established in
Attachment B hereto, which by this reference is incorporated into this Agreement;
provided, however, that in no event shall the amount of compensation exceed Seven
One Million, Three Hundred Fifty
Thousand Dollars ($1,350,000.00) in total over the term of the Agreement and any
extension(s), unless explicitly approved by action of the CITY COMMISSION and put
into effect by written amendment to this Agreement.
All other terms and conditions of the Agreement are in operative force and effect and remain
unchanged.

131, in the total amount of $750,000 for the cope of Work included in the original Agreement
for the PROJECT; and

expenditure limit by $600,000, from $750,000 to $ 50,000 to cover the costs for continuing
work; and
