Dear Ms. Dougherty:
This letter serves to authorize Greenberg Traurig to file a Major Use Special Permit (MUSP) and a
rezoning application, in the name of Mercy Hospital, Inc., the current owner of property located at
approximately 3663 South Miami Avenue, Miami, Florida 33133 and legally described on Exhibit A
attached hereto (the "Subject Property'). This authorization is given on behalf of your client. TRG MH
Venture, Ltd.; who is the proposed purchaser of the property sought to be rezoned pursuant to the terms
of that certain Contract of Sale, as amended, between Mercy Hospital, Inc. and TRG MH Venture, Ltd,,
and provided solely with regard to MUSP and rezoning applications in the exact form as appended hereto
as Exhibit B, This approval also includes any required amendment to the Mercy Hospital MUSP
Resolution No. 93-608 ("Mercy MUSP), so long as such amendment is for the sole purpose of removing
the Subject Property from the Mercy MUSP.
There are to be no changes to the MUSP, the rezoning applications or any amendment to the Mercy
MUSP without the prior written approval of Mercy Hospital. Requests for approval shall be sent to John
Hazel, Vice President Administrative Services, South Miami Avenue, Miami, FL 33133, it is agreed and
understood that this authorization may be withdrawn at any time by Mercy Hospital, inc.
This will further confirm that TRG MH Venture, Ltd. by its execution below will be responsible for the
entire cost of all MUSP and rezoning application fees, as well for all legal fees and cost related to these
applications, including but not limited to those of the Greenberg Traurig law firm.
