A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY
ATTORNEY TO EXECUTE THE NECESSARY DOCUMENT(S) TO EVIDENCE THE
CITY OF MIAMI'S ("CITY'S") WAIVER OF A POTENTIAL CONFLICT OF INTEREST
INVOLVING THE CITY'S ONGOING BOND COUNSEL AND DISCLOSURE
COUNSEL, BRYANT MILLER OLIVE P.A., IN CONNECTION WITH THE
PROPOSED FLORIDA DEPARTMENT OF TRANSPORTATION TUNNEL THROUGH
WATSON ISLAND TO THE PORT OF MIAMI.
WHEREAS, the Florida Department of Transportation ("FDOT") has requested the City of Miami
("City") to consider alternatives, potential projects, and various legal and financial matters regarding a
potential tunnel through City -owned property on Watson Island to the Port of Miami ("Tunnel"); and
WHEREAS, Bryant Miller Olive P.A. ("BMO") has acted as the City's bond counsel and disclosure
counsel in connection with various City financings; and
WHEREAS, BMO represents FDOT in connection with a proposed agreement among FDOT, the
City, and Miami -Dade County regarding the Tunnel, including matters relating to the City -owned
property located within Watson Island; and
WHEREAS, Miami -Dade County has already consented to BMO's representation of FDOT in
connection with the Tunnel and has waived potential conflicts of interest, if any, arising from BMO's
representations of all parties in other matters; and
WHEREAS, BMO has requested that the City sign a waiver of potential conflict of interest, if any,
in connection with the Tunnel matter;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Attorney is authorized{1} to execute the necessary document(s) to evidence
the City's waiver of a potential conflict of interest involving the City's ongoing bond counsel and
disclosure counsel, BMO, in connection with the proposed FDOT Tunnel through Watson Island to the
Port of Miami.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}

Footnotes:
{1} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
