A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT NO. 2, IN
SUBSTANTIALLY THE ATTACHED FORM, TO THE AGREEMENT BETWEEN THE
CITY OF MIAMI ("CITY") AND THE FLORIDA LAND AND WATER CONSERVATION
FUND, TO EXTEND THE TERM FOR CONSTRUCTION COMPLETION OF THE
BAYWALK PROJECT ON WATSON ISLAND IN THE CITY, UNTIL AUGUST 11,
2008, AS MORE PARTICULARLY DESCRIBED IN EXHIBIT "A," ATTACHED AND
INCORPORATED.
WHEREAS, on August 11, 2003 the City of Miami ("City") was awarded a grant in the amount of
$200,000, with a cash match of $200,000, to be provided by the City and Miami Parking Authority, for
the baywalk on Watson Island in the City (the "Baywalk Project ") which was subsequently amended
to accommodate the Baywalk Project schedule; and
WHEREAS, due to plan modifications imposed by the Miami -Dade County Department of
Environmental Resource Management, construction cannot be completed for the Baywalk Project by
August 11, 2007; and
WHEREAS, due to such setbacks, the Florida Land and Water Conservation Fund ("FLWC") has
agreed to extend the expiration of the grant to August 11, 2008;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized{1} to execute Amendment No. 2, in substantially the
attached form, to the agreement between the City and the FLWC, to extend the term for construction
completion of the Baywalk Project, until August 11, 2008 as more particularly described in Exhibit "A,"
attached and incorporated.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}

{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City
Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City Commission.
