Thompson, City Clerk City of Miami Office of the City Clerk 3500 Pan American Drive Miami, FL 33233 Dear Ms. Thompson, I am writing in response to your letter regarding City Commission appointments to the Performing Arts Center Trust Board of Directors. z By way of background, service on the Trust Board includes specific expectations and requirements of time and financial support, and potential appointees should be aware of those obligations: • Attendance at regular and special meetings of the Board (6-10 per year). The bylaws have an attendance policy which is enforced. • Active participation and attendance to an average of two committees per Board member. Committees meet monthly or bi-monthly. • Paid attendance at Camival Center programs during the year. • Paid participation in Center -related fundraisers and certain civic events (such as the upcoming Beacon Council awards dinner in which the Center will be honored). Active Board members typically spend 15-25 hours per month in meetings, and individual financial participation typically ranges from a few thousand dollars to $25,000 for fully active members. Now that the Carnival Center is open, the Board has become extremely active and involved. Its leadership is vital to our success. Recently, our Nominating Committee has been working to develop a younger generation of leaders and to increase its diversity. The current demographics of the Board are: 39% Anglo 28% African -American 33% Hispanic It is with these expectations and goals that the nominating procedure resulted in the recommendation of Ricky Arriola and Javier Soto for the Commission's consideration. Thompson, City Clerk Page Two February 14, 2007 In your letter you have asked whether we would consider Commissioners Spence -Jones and Samoff as appointees of the Commission. Certainly both Commissioners have a strong connection to and interest in the Center because of the districts which they represent. If their duties as Commissioners would permit them to devote the time and resources to the Center which are expect of Trust Board members, I am sure that either or both of them would be valuable additions to the Board. If the time commitment would be a problem, but they would like to attend some of our meetings, these meetings are noticed and open to the public. We would certainly welcome any and all Commissioners to any meeting any of them would like to attend, regardless of whether they serve as members of the Board.
