Please be advised that Fuel has maintained a satisfactory business relationship with Bank of
America and upon transfer of the Agreement between the City of Miami and Sarmiento
Advertising Group, LLC to Fuel, Bank of America at Fuel's request will issue an LC in favor of the
City of Miami in the requisite amount under the same terms and conditions as the current LC with
Bank of America.

i wanted to take this opportunity to thank you and Mary Conway for taking so much time
out of your busy schedules on Wednesday, October 4`h to meat with Lucia Dougherty,
Guillermo Victoria, Pablo Cremaschi, and myself to discuss the transfer of Sarmiento
Advertising Group LLC, to Fuel. As discussed, we look forward to this matter being
expeditiously placed on the agenda for the Commissioner's meeting scheduled to take
place on October 26, 2006.

office will require from us in preparation for the Commissioner's meeting on October 26,

I. Commercial General Liability

The above policies shall provide the City of Miami with written notice of
cancellation or material change from the insurer not less than (30) days prior to any
such cancellation or material change.
Companies authorized to do business in the State of Florida, with the following
qualifications, shall issue all insurance policies required above:
The company must be rated no leas than "A" as to management, and no less
than "Class V" as to Financial Strength, by the latest edition of Best's Insurance
Guide, published by A.M. Best Company, Oldwick, New Jersey, or its
equivalent. All policies and for certificates of insurance are subject to review and
verification by Risk Management prior to insurance approval.
