BILL OF SALE
(Bus Shelters)
KNOW ALL MEN BY THESE PRESENTS, that CLEAR CHANNEL
OUTDOOR, INC., a Delaware corporation registered in Florida as CC OUTDOOR,
INC., and f/k/a ELLER MEDIA COMPANY, successor in interest to SHLETER
ADVERTISING OF AMERICA„ INC.i("SELLER") for and in consideration of the sum
of Ten ($10.00) Dollars, and other good and valuable consideration, received from or on
behalf of the CITY OF MIAMI, a municipal corporation of the State of Florida,
("BUYER") the receipt of which is hereby acknowledged, does grant bargain, sell and
convey to BUYER, its successors and assigns, forever, the bus shelters more fully
described on Exhibit A attached hereto (the "Property"), effective upon execution and
delivery of this Bill of Sale to BUYER and exchange of executed releases between
BUYER and SELLER in the forms attached hereto.
TO HAVE AND TO HOLD SAME unto the BUYER, its successors and assigns
to its proper use, benefit, and behoof forever. SELLER disclaims any implied warranty
of fitness for a particular purpose. The Property is being sold in an "as is" and "where is"
condition.
IN WITNESS WHEREOF, the SELLER and BUYER have executed this Bill of
Sale this day of June 2004.
