A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE THE ANNUAL RENEWAL
OPTIONS SET FORTH IN THE ANNUAL LICENSE, SUPPORT, AND UPGRADE
AGREEMENT BETWEEN THE CITY OF MIAMI AND CYPRESS CORPORATION,
PURSUANT TO RESOLUTION NO. 02-75, ADOPTED JANUARY 24, 2002, FOR
RELICENSING, MAINTENANCE, UPGRADE SERVICES AND PRODUCT
SUPPORT, SUBJECT TO THE AVAILABILITY OF FUNDS AND BUDGETARY
APPROVAL AT THE TIME OF NEED.
WHEREAS, on January 24, 2002, the Miami City Commission adopted Resolution No. 02-75, by a
four -fifths (4/5ths) affirmative vote after a duly advertised public hearing approving the City Manager's
finding of a sole source, waiving competitive bidding, and authorizing the City Manager to execute the
Cypress Annual License, Support, and Upgrade Agreement (the "Agreement") with Cypress
Corporation as the sole source provider for relicensing, maintenance, upgrade service and product
support for the Cypress Knowledge Delivery Architecture (TM) Software (the "Cypress Software") for
the City of Miami ("City") Department of Information Technology, for a period of one (1) year with the
option to renew for four (4) additional one-year periods, in an annual amount not to exceed $9,860,
for the initial period, with annual maintenance increases not to exceed 10% and allocating funds from
Account Code No. 001000.4601.6.670; and
WHEREAS, the City's Director of Procurement and the City Manager have indicated that Cypress
Corporation remains the sole source provider for the City's Cypress Software and the Department of
Information Technology has indicated the need to renew the annual options permitted by the City's
ongoing Agreement subject to the availability of funds and budgetary approval at the time of need;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The City Manager is authorized{1} to execute the annual renewal options set forth in
the Annual License, Support, and Upgrade Agreement, in substantially the attached form, between
the City of Miami and Cypress Corporation, pursuant to Resolution No. 02-75, adopted January 24,
2002, for relicensing, maintenance, upgrade services and product support, subject to the availability
of funds and budgetary approval at the time of need.
Section 2. This Resolution shall become effective immediately upon adoption and signature of the
Mayor.{2}
