A. WHEREAS, Grouper is the owner of that certain property located in Miami Dade County, more particularly described on Exhibit "A", attached hereto (the "Grouper Property"; the owner of the Grouper Property from time to time is hereinafter referred to as the "Grouper Property Owner"); and B. WHEREAS, Crescent is the owner of that certain property which is adjacent to the Grouper Property, and which is located in Miami Dade County, more particularly described on Exhibit " B", attached hereto (the "Crescent Property"; the owner of the Crescent Property from time to time is hereinafter referred to as the "Crescent Property Owner"); and C. WHEREAS, currently located on the Crescent Property are certain improvements, including, but not Limited to, a certain 7-story Office Building containing approximately 46,938 square feet (the "Office Building"), a certain 2-story Office Building containing approximately 18,000 square feet and an auditorium (the "Auditorium Building") (collectively the Office Building and the Auditorium Building are sometimes hereinafter referred to collectively as the "Buildings"), and a certain 2-story parking garage (the "Garage"). D. WHEREAS currently located on Grouper Property is a certain ernergency generator (the "Generator") which services the Buildings. E. WHEREAS Crescent has requested that Grouper grant an easement on, over, under and upon that portion of the Grouper Property (the "Easement Area"), more particularly described on Exhibit "C" attached hereto, for the right to use, maintain and/or replace the Generator (the "Easement"). F. WHEREAS, Grouper has agreed to relocate the Generator from the Grouper Property to the Crescent Property and has requested a license to enter the Crescent Property for such purpose (the "License"). G. WHEREAS, Grouper and Crescent have agreed to grant the Easement and License an a terms and conditions hereinafter set forth. Book23706/Page192 CFN#20050886337 Page 1 of 10 • • • NOW THEREFORE, for valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Grouper and Crescent hereby agree as follows: 1. Grant of Easement. Grouper hereby grants to Crescent Property Owner an easement for direct, uninterrupted ingress and egress on, over, under and upon the Easement Area., to use, maintain anchor replace the Generator. 2. Grant or License to Relocate Generator. Crescent hereby grants to Grouper Property Owner a license for direct, uninterrupted ingress and egress on, over, under and upon the Crescent Property to relocate the Generator to a location at the Crescent Property approved by Crescent. The Generator shall be installed (including connection to the Buildings) at the sole cost and expense of Grouper Property Owner and shall be properly installed and connected to the Buildings in a manner acceptable to Crescent (the "Work"). Grouper Property Owner shall provide Crescent with written notice of the date of the commencement of Work and the expected time period for completing the Work, at least five (5) business days prior to commencement thereof and once commenced, Grouper shall complete the Work in an expeditious and continuous manner and shall minimize any interruptions with Crescent Property Owner's use and enjoyment of the Buildings. If, in connection with the Work, the physical condition of the Crescent Property or the Buildings is affected, Grouper Property Owner shall immediately restore same to its pre-existing condition. Grouper Property Owner shall give Crescent Property owner prior notice of any interruption of utility service during the course of the Work. 3. Term. This Agreement shall terminate and the parties hereto shall execute a termination of this Agreement upon the completion of the relocation of the Generator by the Grouper Property Owner as set forth above and in accordance with the requirements of this Agreement. 4. Reservation. Each party hereby reserves all rights of ownership in and to the respective property owned by it which are not wholly inconsistent with this Agreement, and/or the License, including, without Iimitation, the right to grant further easements or easements on, under, over and/or .across such property and the right to use such property for all uses not interfering or wholly inconsistent with the uses permitted herein. 5. Governmental Approvals. Grouper Property Owner shall be solely responsible for: (i) obtaining any and all governmental (whether state, county or local) permits, easements, certificates and/or all other approvals that may be necessary for the Work with Generator, and (ii) complying with all applicable governmental (whether state, county or local) laws, ordinances, rules and regulations relating to the Work. 6. Indemnification. Grouper Property Owner agrees that Grouper Property Owner, at all times, will indemnify, defend and hold harmless Crescent Property Owner from all losses, damages, liabilities and expenses (including reasonable legal fees and court costs at trial and all appellate levels) whatsoever, which may arise or be claimed against Crescent Property Owner and be in favor of any persons, firms or corporations, for any injuries or damages to the persons or property of any persons, firms or corporations, consequent upon or arising from the Work. 2 Book23706!Page193 CFN#20050886337 Page 2 of 10 • • • In case Crescent Property Owner shall be made a party to any litigation commenced against Grouper Property Owner, in connection with the Work, then Grouper Property Owner shall protect and hold Crescent Property Owner harmless and shall pay all costs, expenses and reasonable attorneys fees incurred or paid by Crescent in connection with such litigation and any appeal thereof For so long as Grouper Property Owner is performing the Work, Grouper Property Owner (or its agent performing the Work) shall maintain comprehensive general liability insurance, with a limit of not less than ONE MILLION DOLLARS ($1,000,000.00), under which Crescent Property Owner shall be a named insured, which insurance shall be primary, regardless of whether Crescent Property Owner has its own collectible insurance (and such shall be so provided on a Certificate of Insurance to be delivered to Crescent Property Owner at least two (2) days prior to commencement of the Work). The provisions of this paragraph shall survive the termination of this Agreement. The provisions of this paragraph 6 shall survive the termination of this Agreement. 7. Miscellaneous. (a) Authority. Each party to this Agreement represents and warrants that it has full right and authority to enter into this Easement Agreement and that all persons signing on behalf of such party were authorized to do so by appropriate action. All such parties are duly organized, validly existing and in good standing under the laws of the State of Florida. (b) Enforcement. This Agreement shall be construed and governed in accordance with the laws of the State of Florida. The provisions of this Agreement may be enforced by all appropriate actions at law and in equity, the prevailing party in any such action to be entitled to reasonable attorney's fees and costs through all appellate levels. (c) Liens. Grouper Property Owner and Crescent Property Owner shall permit no liens or claims of lien to be filed against the other parties' Property and shall promptly discharge or transfer to bond any lien that may be filed against such property by reason of such parties activities thereon or the activities of any of its employees or representatives. (d) Notice. This Agreement may be executed in any number of counterparts and by the separate parties hereto in separate counterparts, each of which when taken together shall be deemed to be one and the same instrument. Construction. The section headings contained in this Agreement are for reference purposes only and shall not affect the meaning or interpretation hereof. Ail of the parties to this Agreement have participated fully in the negotiation of this Agreement, and accordingly, this Agreement shall not be more strictly construed against any one of the parties hereto. In construing this Agreement, the singular shall be held to include the plural, the plural shall be held to include the singular, and reference to any particular gender shall be held to include every other and all genders. Severability. In the event any term or provision of this Agreement is determined by appropriate judicial authority to be illegal or otherwise invalid, such provision shall be given its nearest legal meaning or be construed as deleted as such authority determines, and the remainder of this Agreement shall be construed in full force and effect. (h) Exhibits. All of the Exhibits attached to this Agreement are incorporated in, and made a part of, this Agreement. 8. Amendments; Termination. This Agreement may not be amended, modified or (except as otherwise provided above) terminated except by written agreement of each both parties hereto, or their successor and/or assigns. 9. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and arrangements, both oral and written, between the parties with respect thereto. 10. Successors and Assigns.
