NOT -FOR -PROFIT CORPORATE RESOLUTION
WHEREAS, Turkel Resource Foundation, Inc., a Florida not -for -profit
corporation, desires to enter into an improvements and indemnification agreement with
the City of Miami, a copy of which is attached hereto; and
WHEREAS, the Board of Directors at a duly held corporate meeting has
considered the matter in accordance with the Articles and By -Laws of the not -for -profit
corporation;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF
DIRECTORS that the President and Corporate Secretary are hereby authorized and
instructed to enter into an improvements and indemnification agreement and undertake
the responsibilities and obligations as stated in such proposed improvements and
indemnification agreement in the name and on behalf of this not -for -profit corporation
with the City of Miami upon terms and conditions contained in the proposed
improvements and indemnification agreement to which this resolution is attached.
