A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A CONSENT AND RELEASE
AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, ACKNOWLEDGING
THE MERGER OF PARSONS BRINCKERHOFF CONSTRUCTION SERVICES,
INC., INTO ITS AFFILIATE COMPANY, PARSONS, BRINCKERHOFF, QUADE &
DOUGLAS, INC., ALLOWING FOR THE TRANSFER OF THE CONTRACT TO
PARSONS, BRINCKERHOFF, QUADE & DOUGLAS, FOR THE PROVISION OF
MISCELLANEOUS CONSTRUCTION ENGINEERING AND OBSERVATION
SERVICES FOR THE CITY OF MIAMI, PURSUANT TO RESOLUTION NO.
04-0792, ADOPTED DECEMBER 9, 2004.
WHEREAS, the City of Miami ("City") conducted a competitive selection process, and issued
Request for Qualifications ("RFQ") No. 03-04-131, in accordance with Florida Statutes, Section
287.055, the Consultants Competitive Negotiation Act, and in accordance with the Code of the City of
Miami, Florida, as amended, to secure qualified outside consultants to fulfill the need for construction
engineering and observation services ("Services") for the many construction and building projects
funded in the Capital Improvements Program; and
WHEREAS, pursuant to the terms and conditions contained in the RFQ, the City Commission,
pursuant to Resolution No. 04-0792, adopted December 9, 2004, authorized the City to award a
contract to Parsons Brinckerhoff Construction Services, Inc. ("PBCS"); and
WHEREAS, PBCS and the City entered into a Construction Engineering Observation Services
Agreement ("Agreement") on January 28, 2005, for PBCS to provide the Services; and
WHEREAS, both the RFQ and the Agreement contain provisions stating that the Agreement shall
not be transferred, conveyed, disposed of, assigned or delegated without the City's prior written
consent; and
WHEREAS, a statutory merger of PBCS into its affiliate company, Parsons, Brinckerhoff, Quade &
Douglas, Inc. ("PBQD"), became effective September 30, 2006; and
WHEREAS, PBCS will continue to provide the Services within PBQD; and
WHEREAS, in order for PBQD to continue to provide the Services to the City and the City to
continue to utilize the Services of PBQD, it is necessary to execute a consent and release agreement,
acknowledging the merger and allowing for transfer of the contract with PBCS to PBQD;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by

reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized{1} to execute a Consent and Release Agreement, in
substantially the attached form, acknowledging the merger of PBCS, into its affiliate company, PBQD,
allowing for the transfer of the contract to PBQD, for the provision of miscellaneous construction
engineering and observation services for the City, pursuant to Resolution No. 04-0792, adopted
December 9, 2004.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}

{1} The herein authorization is further subject to compliance with all requirements that may be imposed
by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. if the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
