A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BYA
FOUR -FIFTHS (4/STHS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED PUBLIC
HEARING, RATIFYING, APPROVING AND CONFIRMING THE CITY MANAGER'S
RECOMMENDATION AND FINDING THAT COMPETITIVE NEGOTIATION
METHODS ARE NOT PRACTICABLE OR ADVANTAGEOUS PURSUANT TO
SECTION 18-86(A)(3)(C) OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED; WAIVING THE REQUIREMENTS FOR SAID PROCEDURES;
APPROVING THE RECOMMENDATIONS AND FINDINGS OF THE CITY OF
MIAMI'S DEPARTMENT OF PARKS AND RECREATION THAT ARTS FOR
LEARNING/ MIAMI, INC ("ARTS FOR LEARNING"), MIAMI-DADE FAMILY
LEARNING PARTNERSHIP, INC. ("MDFLP"), AND MUSEUM OF SCIENCE, INC.
("MUSEUM OF SCIENCE"), ALL FLORIDA NOT -FOR -PROFIT CORPORATIONS,
ARE THE MOST QUALIFIED FIRMS TO PROVIDE ART TEACHER MANAGEMENT,
LITERACY BASED CURRICULUM, TEACHER SUPERVISION, SCIENCE -RELATED
ACTIVITIES, FAMILY DAY FIELD TRIPS AND OTHER SUCH ACTIVITIES IN
CONJUNCTION WITH EDUCATIONAL AND PARKS SERVICES AT AFRICAN
SQUARE, CURTIS, DUARTE, SHENANDOAH, AND WILLIAMS PARKS WITH
EXPANSION PROGRAMS AT ROBERT KING HIGH PARK AND THE SANDRA
DELUCCA DEVELOPMENTAL CENTER; AUTHORIZING THE CITY MANAGER TO
EXECUTE AGREEMENTS, IN SUBSTANTIALLY THE ATTACHED FORM, WITH
ARTS FOR LEARNING, MDFLP, AND MUSEUM OF SCIENCE, FOR A PERIOD
COMMENCING AUGUST 1, 2006 THROUGH MAY 31, 2007, IN AN AMOUNT NOT
TO EXCEED $91,460, FOR ARTS FOR LEARNING, WITH THE OPTION TO
RENEW FOR TWO (2) ADDITIONAL SIMILAR PERIODS; IN AN AMOUNT NOT TO
EXCEED $68,000, FOR MDFLP, WITH THE OPTION TO RENEW FOR TWO (2)
ADDITIONAL SIMILAR PERIODS; AND IN AN AMOUNT NOT TO EXCEED $99,972,
FOR MUSEUM OF SCIENCE WITH THE OPTION TO RENEW FOR TWO (2)
ADDITIONAL SIMILAR PERIODS; ALLOCATING FUNDS, IN THE AMOUNT NOT TO
EXCEED A GRAND TOTAL OF $259,432, FOR FISCAL YEAR 2006-2007, FROM AN
ACCOUNT TO BE DETERMINED BY THE DEPARTMENT OF FINANCE, WITH
FUTURE FISCAL YEARS' FUNDING SUBJECT ONLY TO BUDGETARY
APPROVAL.
WHEREAS, the City of Miami's ("City's) Department of Parks and Recreation applied for a
Children's Trust grant to enhance the quality of after -school programming provided in seven of the
City's parks; and
WHEREAS, the City was awarded the Out -Of -School, "Heart of Our Parks" Children's Trust grant
in the amount of $761,225.00; and
WHEREAS, the contract with the Children's Trust is being entered into by the City and Arts for
Learning/ Miami, Inc. ("Arts for Learning") was determined to be the most advantageous and in the

City's best interests to provide said arts -related services at African Square, Curtis, Duarte, Robert
King High, Sandra DeLucca Developmental Center, Shenandoah, and Williams Parks; and
WHEREAS, the contract with the Children's Trust is being entered into by the City and is requiring
an eighty-five percent (85%) improvement rate in literacy performance among participating children
and Miami -Dade Family Learning Partnership, Inc. ("MDFLP"), was determined to be the most
advantageous and in the City's best interests to provide said literacy -related services at African
Square, Curtis, Duarte, Robert King High, Sandra DeLucca Developmental Center, Shenandoah, and
Williams Parks; and
WHEREAS, the contract with the Children's Trust is being entered into by the City and the
Museum of Science, Inc. ("Museum of Science") was determined to be the most advantageous and in
the City's best interests to provide said science -related services at African Square, Curtis, Duarte,
Robert King High, Sandra DeLucca Developmental Center, Shenandoah, and Williams Parks; and
WHEREAS, the City Manager has approved the recommendations of the Department of Parks
and Recreation, and has made findings that pursuant to Section 18-86(a)(3)(c) of the Code of the City
of Miami, Florida, as amended ("City Code"), competitive negotiation methods are not practicable or
advantageous for obtaining said services, and has recommended to the City Commission that the
recommendations and findings be adopted; and
WHEREAS, the City Manager and the Department of Parks and Recreation are requesting for the
City Commission to authorize the City Manager to negotiate and execute Professional Services
Agreements ("Agreement(s)"), in substantially the attached form, with Arts for Learning, for an amount
not to exceed $91,460, for the period from August 1, 2006 through May 31, 2007 with the option to
extend for two (2) additional similar periods, MDFLP for an amount not to exceed $68,000, for the
period from August 1, 2006 to May 31, 2007, with the option to extend for two (2) additional similar
periods, and Museum of Science, for an amount not to exceed $99,972, for the period from August 1,
2006 to May 31, 2007, with the option to extend for two (2) additional similar periods; and
WHEREAS, the City Manager and the Department of Parks and Recreation are requesting the
appropriation of said Children's Trust funding for these three Agreements, in the grand total amount
not to exceed $259,432, for the initial Fiscal Year 2006-2007, with future Fiscal Year funding subject
only to budgetary approval;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporate as it fully set forth in this Section.
Section 2. By a four-fifths(4/5ths) affirmative vote, after an advertised public hearing, the City
Manger's findings and recommendations that competitive negotiation methods procedures are not
practicable or advantageous pursuant to Section 18-86(a) (3) (c) of the City Code, waiving the
requirements for said procedures, is ratified, approved and confirmed and the City Department of
Parks and Recreation's recommendations and findings that Arts for Learning, MDFLP, and Museum
of Science, all Florida Not -For -Profit Corporations, are the most qualified firms to provide art, literacy
and science based curriculum, teacher supervision and other such activities at African Square, Curtis,

Duarte, Robert King High, Sandra DeLucca Developmental Center, Shenandoah, and Williams Parks,
is approved.
Section 3. The City Manager is authorized{1} to execute Agreements, in substantially the attached
form, with Arts for Learning, MDFLP, and Museum of Science, for a period commencing August 1,
2006 through May 31 2007, in an amount not to exceed $91,460.00 for Arts for Learning, with the
option to renew for two (2) additional similar periods; in an amount not to exceed $68,000.00 for
MDFLP, with the option to renew for two (2) additional similar periods; and in an amount not to
exceed $99,972, for Museum of Science, with the option to renew for two (2) additional similar
periods, in an amount not to exceed the grand total of $259,432, with funds to be allocated for Fiscal
Year 2006-2007, from an account to be determined by the Department of Finance, with future Fiscal
Years' funding, subject only to budgetary approval.
Section 4. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
