Subject: Revocable License Agreements with Miami Rowing and Watersports Club, Inc., Swim Gym
Aquatics Inc., and Miami Overseas Chinese Association, Inc.
Purpose of Item:
A Resolution of the Miami City Commission, with attachments, authorizing the City Manager to execute
Revocable License Agreements (the "Agreements"), which are revocable at -will, in substantially the attached
form, with Swim Gym Aquatics, Inc., Miami Rowing & Watersports Center, Inc., and Miami Overseas Chinese
Association, Inc., (collectively "Licensees"), to occupy and use approximately 4.2 acres of City -owned
property located at 3601 Rickenbacker Causeway, Miami, Florida, which licenses shall provide: 1) for a use
period to coxnmenoe October 1, 2006 and expire September 30, 2007 with a one-year mutual renewal option to
September, 2008; and 2) Licensees to pay monthly use fees to the City in the amounts of $400.00, $250.00 and
$100.60 respectively and additionally 12% of their respective monthly gross revenues; and with other terms
and conditions as more particularly set forth in the Agreements; further providing for the acceptance of
monthly fees from the Licensees in the same amounts as provided above for the period of October 1, 2005
through September 30, 2006.

Subject: Revocable License Agreements with Miami Rowing and Watersports Club, Inc., Swim
Gym Aquatics,,Inc., and Miami Overseas Chinese Association, Inc
Background Information:
On March 24, 2005, the City Commission adopted Resolution R-05-0190 that authorized the City
Manager to execute Revocable License Agreements ("Agreements") with Miami Rowing & Watersports
Center, Inc. ("MRWC"), Swim Gym Aquatics, Inc., and Miami Overseas Chinese Association, Inc. for
the purpose of operating and maintaining water recreational and educational opportunities at the City -
owned property located 3601 Rickenbacker Causeway. The Agreement was for a one-year term which
expired on September 30, 2005.
Commencing October 1, 2006, the Parks Department assumed management of the site and the Licensees
have continued to operate their programs at the Property pursuant to the same terms and conditions as
the previous agreements with the exception that the Parks Department now manages special events and
functions at the Property instead of the Miami Rowing and Watersports Center and Parks has assumed
payment of the utilities. During negotiations, it was determined that additional property was needed to
accommodate all of the various programs of the Licensees and certain capital improvements were
required before the Licensees would proceed in executing new agreements.
The proposed Agreements will commence October 1, 2006 and extend through September 30, 2007 with
one (1) one-year mutual renewal option. Notwithstanding said term, the Agreements may be terminated
by either party without cause upon providing 30 days advance written notice to the non -terminating
party. The major changes from the prior agreements are that the Parks and Recreation Department now
manages special events and functions held at the property instead of MRWC, provides day-to-day
maintenance of the facility and provides a full-time on -site manager. The Parks and Recreation
Department will also pay the electric and water utilities and the Licensees shall pay the Department their
proportionate share of this amount. Lastly, the Agreements expand the original use area from 1.96 acres
to approximately 4.2 acres to better accommodate the growth of the programs at this location.
