Please accept this letter of intent in conjunction with the submittal of application
("Application") request on behalf of 53rd Street Apartments, L.P., a Florida Limited Liability
Partnership ( "the Applicant"), to rezone and change the Land Use Zoning Designation of a .98-acre
site located at 40, and 50 NE 54 Street and 43 NE 53 Street in the City of Miami (the "Property")
from T5-0 zoning to T6-8-O zoning under the City Zoning Code (Code). The Property is located
midblock along NE 54 Street between NE 1st Avenue and N Miami Avenue. I have attached as
Exhibit A copies of the Warranty Deeds Encompassing the Property, Survey/Sketches (including
Legal Description of the Property) and an Aerial Photo. The Applicant is the Fee Owner of the
Property.
Requested Zoning Change
The Applicant respectfully submits the attached Application to change the zoning
classification of the Property as described herein to T6-8-O. The land use designation of the Property

The requested zoning is consistent and supported by the land use designation of the Propert
as Restricted Commercial. The Restricted Commercial designation allows for residential
development of up to 150 units to the acre and supports mix use on the Property.

The requested zoning change shall align the zoning applicable to the Property with its land
use designation.
The City Zoning Code in section 7.1.2.8(F)(2) requires that any Zoning change be made only
to the next intensity Transect Zone or by a Special Area Plan. Our request complies with this
requirement.
The proposed Application is consistent and will enhance the goals and objectives of the
Miami Comprehensive Neighborhood Plan ("MCNP") and the City Zoning Code by fostering
redevelopment of the Property that has been underutilized for years. The proposed mixed -use project
is in close proximity to a major Commercial Center to the Miami Jewish Hospital ("The Hospital")
and transit corridors will promote economic development see Goal LU-2 of MCNP. See Code section
7.1.2.8(F)(I)(A) and (B).

The Property is located in an area that has been largely neglected for some time and is an
important transition between two major corridors. While it is currently partially developed with two
small buildings and large open area, it is due for a much -needed upgrade. We have attached to the
Application in accordance with Miami 21 Zoning Code, an analysis of the properties located within
a one-half mile radius of the property ("Area Analysis"). The Area Analysis is Attached as Exhibit
B Hereto.
The Property is surrounded by a few zoning districts, including T6-8-O, T5-O, T4-R, and
T4-O, which provides for a unique and diverse neighborhood which is transitioning into a mixed

use, transit dependent area. The Property is near to the I-95 and US-1 Major Traffic Corridors and
various institutional developments including The Hospital which borders the Property on NE 53rd
Street. These changed conditions support the requested Zoning. See Code section 7.1.2.8(F).
The proposed T6-8-O zoning designation will permit a mixed -use residential multi -family
development on a large size property that can provide sufficient buffers to the established
neighborhood while providing a much -needed mix of uses and new housing in a commercial
intensive area. This furthers Miami 21's goals of "protection of the environment; conservation of
land, energy and natural resources; improved mobility;" and "greater health benefits of a pedestrian
environment" (see, Article 2, Section 1 of Miami 21). Rezoning the Property to T6-8-O, will also
help further the City's vision for "pedestrian friendly neighborhoods". See Objective HO-2.1 and
TR-2.7. of MCNP.
The Property's rezoning to T6-8-O will encourage the evolution of a development pattern
based on the organizational principles of the transect and existing development adjacent to the
Property. The T6-8-O zoning of this Property will allow for a functional and pedestrian friendly
plan that integrates public realm features along the NE 54 Street corridor that fronts the property
while remaining considerate of the existing neighborhood. See Objective HO-1.1.7 and 2.1 of
MCNP.
The T5-O zoning is no longer the most beneficial use of the Property, which is typically
intended to accommodate smaller sites with tightly packed rowhouse and small apartments. Because
of the presence of the major transit corridors, proximity to institutional uses, and the size of the
Property the existing zoning would not be the most efficient or desirable use of the Property.
This area is in need of a revitalization of commercial and residential uses, and due to the
proximity to the I95- and US-1 as well as the Hospital, T6-8-O would be a more compatible zoning
designation for the Property as it would allow for a more pedestrian friendly development while
providing a greater buffer to the residential neighborhood a few blocks away and help this area of
the City continue to redevelop in accordance with the principles of Miami 21 and existing uses
adjacent to the Property. See Miami 21 Zoning Code section 7.1.2.8(D) and (F).
The zoning proposed for the Property is T6-8-O, which is consistent with the area and the
uses allowed in the City's Zoning Code, including but not limited to multi -family high density
housing, and commercial uses. The City of Miami's FLUM designation for the Property is already
Restricted Commercial, which is consistent with the proposed zoning and use.
"T6 - THE URBAN CORE ZONE consists of the highest Density and greatest variety of
Uses, including Civic Buildings of regional importance. A network of small blocks has
Thoroughfares with wide Sidewalks, with steady tree planting and Buildings set close to the
Frontage with frequent doors and windows."
Proposed development of the site includes a multi -family project with ground floor
commercial and retail spaces and will be subject to the regulations contained in the City's Zoning
Code, Article 5, Section 5.6 Urban Core Transect Zones, the focus of which is to minimize
potential negative impacts on adjacent land uses and improve the appearance of urban development

in the City.
Further the proposed project promotes and facilitates economic development and the growt
of job opportunities in the City by creating much needed pedestrian friendly retail commercial
development as well as residential units in accordance with the City MCNP Policy LU-1.1-7 and
LU-1.2. The applicant will replace long standing vacant land with residential and commercial
development to add vibrancy to the area. Further a portion of the residential units shall be set aside
for attainable priced rentals (See MCNP Land Use Element LU-4.1, LU-4-.1.1, LU-4.2). Our
project proposes 147 residential units ("Units"), and we shall provide a Covenant to assure that ten
percent (10%) of the Units will be rent restricted for attainable housing at one hundred percent
(100%) of Area Median Income to provide available housing not only to the neighborhood but
particularly the Hospital employees.
I have attached as Exhibit C additional support from the City MCNP for the requested
zoning change.
As stated above, we are requesting a rezoning of the Property from T5-O to T6-8-O in order to
develop the Property with a mixed -use multi -family project in an area that has been neglected for some
time. We respectfully request your approval of the zoning request in the Application.

The proposed Application is consistent and will enhance the goals and objectives of the
Miami Comprehensive Neighborhood Plan (MCNP) and the City Future Land Use Map (FLUM),
by fostering redevelopment of the Property that has been underutilized for years. The proposed
mixed use project is in close proximity to a major Commercial Center (The Hospital) and transit
corridors will promote economic development see Goal LU-2 of MCNP.
The Property is located in an area that has been largely neglected for some time and is
an important transition between two major corridors. While it is currently partially developed
with two small buildings and large open area, it is due for a much -needed upgrade
The Property is presently zoned T5-0, and the land use designation is Restricted
Commercial under the FLUM, thus unifying the Property under the same zoning and FLUM
Designation will create a more efficient and cohesive development, area. Approval shall
avoid inconsistencies in future development and support consistency of use among
proximate land uses such as the Hospital and other T-6 uses along NW 54th Street.
The T5-O zoning is no longer the most beneficial use of the Property, which is
typically intended to accommodate smaller sites with tightly packed rowhouse and small
apartments. Because of the presence of the major transit corridors, proximity to institutional uses,
and the size of the Property the existing zoning would not be the most efficient or desirable use
of the Property.
This area is in need of a revitalization of commercial and residential uses, and due to the
proximity to the I95- and US-1 as well as the Hospital, T6-8-O would be a more compatible
zoning designation for the Property as it would allow for a more pedestrian friendly development
while providing a greater buffer to the residential neighborhood a few blocks away and help this
area of the City continue to redevelop in accordance with the principles of Miami 21 and existing
uses adjacent to the Property, See Miami 21 Zoning Code section 7,1.2.8(D) and (F).

THIS DECLARATION OF RESTRICTIVE COVENANTS (the "Declaration"), made this
day of , 2023, by 53rd Street Apartments, L.P., a Florida limited liability
partnership, having offices at (the "Owner"), in favor of
the City of Miami, Florida, a municipality of the State of Florida (the "City").
WITNESSETH:

the City and Owner shall coordinate to record covenants on individual
Homeownership Units ("Individual Covenants") in a manner that creates the same
amount of Affordable or Workforce Homeownership Units specified in this
Declaration. Each Individual Covenant must (i) specify the applicable AMI for any
purchaser during the term of the Individual Covenant and (ii) expire on the same

In the event that any of the [Workforce, Affordable, or Extremely Low Income] Dwellin
Units are sold, the specific Unit(s) must be sold with a purchase cost equal to or less than
the standards for those individuals whose income is at or below the AMI as established
herein. Each [Affordable, Workforce, or Extremely Low Income] Dwelling Unit sold shall
include a deed restriction that the Unit shall only be sold with a purchase cost equal to or
less than the standards for those individuals whose income is at or below the applicable AMI

5. Inspection. It is understood and agreed that any official inspector of the City may have the
right at any time during normal working hours of the City's inspector to enter upon the
Property for the purpose of investigating the use of the Property, and for determining

violating or attempting to violate any covenants of this Declaration or provisions of the
building and zoning regulations to restrain violations, to recover damages, or for any other
remedy available. In addition, any violation or noncompliance of this Declaration shall be
immediately referred to the Code Compliance Department for enforcement proceedings,
lien placement, and citations pursuant to Chapter 2, Article X of the City Code, Chapter 62
of the City Code, as both may be amended, and this Declaration. Any violation or
noncompliance of this Declaration shall be referred to the City Attorney's Office for
enforcement, including but not limited to injunctive relief and/or any other remedies in law
or equity. This enforcement provision shall be in addition to any other remedies available
under the law. The use of one remedy shall not preclude the use of another.
7. Non -Compliance. Any violation or noncompliance of this Declaration regarding the
affordable housing component shall result in a monetary penalty to be deposited into the
Affordable Housing Trust Fund. Such monetary penalty shall be assessed as a daily fine of
two hundred fifty dollars ($250.00) per day per violation until proof of compliance has been
provided to the City. The monetary penalty shall not be subject to mitigation or otherwise
modified by any body or board including, but not limited, to the Code Enforcement Board.

8. Amendment, Modification, and Release. This Declaration may be modified, amended, o
released as to any portion or all of the Property only after approval by the City Commission
at a publicly noticed hearing. All costs, expenses, and fees associated with releasing this
Declaration shall be the sole responsibility of the party requesting the release.
Any amendment, modification, or release approved by the City Commission shall
be executed by the Planning Director, the Zoning Director, and the Housing and Community
Development Director, or their successor, or designee, and be in a form acceptable to the
City Attorney.
9. Severability. Invalidation of any one of these covenants by judgment of Court shall not
affect any of the other provisions of this Declaration, which shall remain in full force and
effect.
10. Recordation. This Declaration will be e-recorded by the City of Miami, at the Owner's
expense, in the public records of Miami -Dade County, Florida upon full execution.
11. Counterparts/Electronic Signature. This Declaration may be executed in any number of
counterparts, each of which so executed shall be deemed to be an original, and such
counterparts shall together constitute but one and the same Declaration. The parties shall be
entitled to sign and transmit an electronic signature of this Declaration (whether by
facsimile, PDF, or other email transmission), which signature shall be binding on the party
whose name is contained therein. Any party providing an electronic signature agrees to
promptly execute and deliver to the other parties an original signed Declaration upon
request.
12. No Vested Rights. Nothing in this Declaration shall be construed to create any vested rights
whatsoever to the Owner, its successors and assigns.

ACKNOWLEDGEMENT BY APPLICANT
1. The Department of Resilience and Public Works, Transportation, Coordinated Review Committee and other City
and County agencies review zoning public hearing requests and provide input, which may affect the scheduling
and outcome of my hearing. These reviews may require additional hearings before other City and County
boards, which may result in the modification of plans, studies and/or the proffering of agreements to be
recorded. The submission and acceptance of a request for public hearing means that the application is ready to
be scheduled for public hearing. I am also aware that I must comply promptly with any City or County conditions
and notify the Hearing Boards (Hearing Boards) in writing if my public hearing application will be withdrawn.
2. Filing fees may not be the total cost of a hearing. Some requests require notices to be mailed to property
owners up to a mile from the subject property and I am responsible for paying the additional radius mailing
costs. In addition to mailing costs, I am responsible for additional fees related to application changes, plan
revisions, deferrals, re -advertising, etc. that may be incurred. I understand that fees must be paid promptly. The
only fees that will be refunded after the submission and acceptance of an application for public hearing has
occurred will be the surcharge fees related to appeals, as expressly listed in Chapter 62 of the City Code
(Code).
3. Requests for public hearing will be scheduled by the Hearing Boards in accordance with the scheduling timeline
set forth in the Code and the Zoning Ordinance of the City of Miami (Miami 21), as applicable. I must submit any
requests to reschedule, continue or defer my hearing date to the attention of the decision -making body for its
consideration and vote at the public hearing on which my application is scheduled to be heard. I understand that
any requests by the applicant to reschedule, continue or defer the hearing date that are granted shall incur a
$1,000.00 fee, as per the Code.
4. Applicable Florida Building Code requirements, or other applicable requirements, may affect my ability to obtain
a building permit even if my zoning application is approved; and a building permit will probably be required. I am
responsible for obtaining any required permits and inspections for all structures and additions proposed, or built,
without permits. In addition, a Certificate of Use (C.U.) must be obtained for the use of the property after it has
been approved at a zoning public hearing. Failure to obtain the required permits and/or C.U., Certificates of
Completion (C.C.), or Certificate of Occupancy (C.O.) will result in an enforcement action against any occupant
and owner. Submittal of the zoning public hearing request may not forestall enforcement action against the
property.
If my request is denied, deferred, or otherwise not approved, I understand that I will not be reimbursed for any
fees paid.
6. Any requests by the applicant to reschedule, continue or defer the hearing date that are granted shall incur a
$1,000.00 fee, as per the Code.
7. Any covenant to be voluntarily proffered must be submitted in word format to the Planning Department and to
the Office of the City Attorney through ePlan for review and comments from the Planning Department, Office of
the City Attorney, and any other City departments as deemed necessary. The covenant will be reviewed in
ePlan and the applicant will be notified of any necessary changes, corrections or comments through ePlan.
Once the covenant receives a recommendation of approval from the Planning department and as to legal form,
Hearing Boards staff will extract the approved covenant directly from ePian to include as part of the agenda.
The applicant is responsible to submit to the Hearing Boards the signed covenant with a current Opinion of Title
no later than two (2) weeks prior to the initial public hearing. I understand that any requests by the applicant to
reschedule, continue or defer the hearing date that are granted shall incur a $1,000.00 fee, per instance, as per
the Code.
