Mitchell TITLE: Regional Vice President DATE: STATE OF FLORIDA DEPARTMENT OF HEALTH CONTRACT RENEWAL # 1 THIS CONTRACT RENEWAL #1 ("Renewal") is entered into between the Florida Department of Health, (the "Department") and Cardinal Health 103, Inc. f/k/a Cardinal Southeast, Inc. (the ""Provider"). RECITALS A. Department and Provider are parties to that certain Pharmaceutical Prime Vendor Contract a/k/a contract number 268-000-98-2 together with the amendments and supplements thereto to date (collectively the "Original Agreement"). B. The parties desire to amend the Original Agreement to reflect an extension of the Initial Term of the Original Agreement. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Extension of Term. The Initial Term of the Original Agreement is hereby extended until September 30, 2008 as permitted in the Original Agreement. 2. No Other Changes. Except as specifically set forth in this Renewal, the Original Agreement will continue in full force and effect without change. 3. Effectiveness; Interpretation. This Renewal will be effective on the date it is executed by both parties (the "Effective Date"). To the extent there are any inconsistencies between the provisions of this Renewal and the provisions of the Original Agreement, the provisions of this Renewal will control. Capitalized terms not otherwise defined herein shall have the same meaning given those terms in the Original Agreement, it being the intent of the parties that the Original Agreement and this Renewal will be applied and construed as a single instrument. The Original Agreement, as modified by this Renewal, constitutes the entire agreement between Provider and Department regarding the subject matter of this Renewal and supersedes all prior or contemporaneous writings and understandings between the parties regarding the same. 4. Authorized Signatories. All signatories to this Renewal represent that they are authorized by their respective parties to execute and deliver this Renewal on behalf of their respective parties, and to bind such parties to the terms herein. SUPERSEDES: HSTP 94-04 The Department of Health, Bureau of Pharmacy Services is responsible for all aspects related to the statewide purchasing of pharmaceuticals per s. 381.0203(1), F.S., and Chapter 10D-128, F.A.C. Chapter 10D-128, F.A.C., incorporates Chapter 60A-1, F.A.C., except that all references to the "Division of Purchasing" are substituted by reference to Pharmacy Services. There are other exceptions to Chapter 60A-1, F.A.C., also noted in the rule. The Department of Health, Bureau of Pharmacy Services will be handling all questions, suggestions, or contract vendor problems which may result with regard to these contracts. AUTHORITY - Per legislative mandate, the Department of Health Bureau of Pharmacy Services has executed these term contracts between the State of Florida and the designated Vendors. http://www.myflorida.com/st_contracts/268000982/certification.htm 7/2/2003 CERTIFICATION OF PHARMACEUTICAL TERM CONTRACTS 1999-2000 Page 3 of 3 B. EFFECT - These pharmaceutical term contracts are entered into to provide cost savings in the purchase of pharmaceuticals by all State of Florida agencies and institutions. Therefore, in compliance with s. 287.042, F.S., all purchases of these commodities shall be made under the terms, prices, and conditions of these contracts and with the specified vendors. C. ORDERING INSTRUCTIONS - All purchase orders shall be issued in accordance with the attached ordering instructions. Purchaser shall order at the prices indicated, exclusive of all federal, state or local taxes. All contract purchase orders shall show the appropriate Statewide Term Contract Number as designated above. D. VENDOR PERFORMANCE - Agencies shall report any vendor failure to perform according to the requirements stipulated in these contracts directly to the Department of Health, Bureau of Pharmacy Services utilizing the Pharmaceutical Complaint to Vendor form letter and the Request for Assistance - Pharmaceutical form letter found on pages 31 and 32 of this document. E. SPECIAL AND GENERAL CONDITIONS - are enclosed for your information. F. NON -AWARDED ITEMS - If an item is not awarded under these contracts, it may be purchased in accordance with the terms of the Pharmaceutical Prime Vendor Term Contract, if available. Items not available from any of these contracts may be purchased according to the terms of Chapter 60A-1, F.A.C. NOTE: Department of Corrections, Department of Children and Families and the Department of Health facilities shall purchase non -awarded items and drugs not described in this contract from the Pharmaceutical Prime Vendor Contract, if available. G. NEGATIVE FORMULARY - If a brand name product for a drug listed on the State of Florida's Negative Drug Formulary, 64B 16-27.500, F.A.C., has not been awarded, then it may be purchased from the Pharmaceutical Prime Vendor or on a local basis rather than in accordance with these contracts H. EXCEPTIONAL PURCHASE REQUESTS - All exceptional purchase requests related to the purchase of pharmaceuticals are to be submitted to the Department of Health, Bureau of Pharmacy Services on the Pharmaceutical Exception Request Form (HRS-H Form 1048, 10/93) found on page 33 of this document. I. CONTRACT APPRAISAL - Any comments or recommendations for improvements in these contracts shall be submitted in writing to the Department of Health, Bureau of Pharmacy Services, 2818 Mahan Drive, Tallahassee, FL 32308 no later than March 1, 2000.
