This Amendment to that certain Memorandum of Agreement between the City of
Miami, a municipal corporation of the State of Florida ("City") and Allapattah
Community Action, Inc. ("Sub -recipient") dated August 25, 2006 (the "Agreement") is
entered into this day of , 2006.
RECITAL
WHEREAS, the City and Sub -recipient, have heretofore entered into the
Agreement which sets forth the terms and conditions pursuant to which the City provided
Sub -recipient the sum of three hundred forty nine thousand two hundred dollars ($349,200)
to carry out Public Services projects through Resolution No. 05-0380;
WHEREAS, pursuant to R-03-1245, the City awarded twenty thousand dollars
($20,000) for Public Facilities and Improvements projects and, in consideration of the
services provided by sub -recipient, the City approved R-06 on May 11, 2006 to
transfer such funds so that sub -recipient can provide additional Public Service activities;
WHEREAS, all the funds are subject to the same terms and conditions contained
in the Agreement; and
NOW, THEREFORE, in consideration of the foregoing, the City and Sub -
recipient hereby agree to amend the Agreement as follows:
1. The City shall pay the Sub -recipient as maximum compensation for the services
required pursuant to this agreement the sum of $369,200.
1. Exhibit B of the Memorandum of Agreement (Work Program) is amended to the new
Exhibit B attached to this Amendment.
2. Exhibit C of the Memorandum of Agreement (Budget) is amended to the new Exhibit
C attached to this Amendment.

EXHIBIT B — WORK PROGRAM ELDERLY MEALS
1. SUBRECIPIENT will recruit program participants that meet the following
criteria:
a) Must be a resident of the City of Miami
b) Must be a member of a low -to moderate income household
c) Must be at least 62 years of age
2. SUBRECIPIENT will submit the following information to the City of Miami
Department of Community Development to obtain certification that proposed
participant is eligible to receive program benefits and for SUBRECIPIENT to
invoice the City of Miami for services provided.
a) Program Application, in a form provided by the City of Miami
Department of Community Development, signed by prospective
participant or by legal guardian if prospective participant is incapable of
doing so
b) Proof of residency
c) Proof of income
d) Proof of age
3. SUBRECIPIENT may replace participants who stop receiving program benefits
by providing the information required in 2 above. SUBRECIPIENT will not
invoice the City of Miami until the proposed participant is certified as eligible by
the City of Miami.
4. SUBRECIPIENT will provide:
a) Congregate Meals to participants times per day onthe
following days: - Monday, Tuesday, ,Wednesday, _ Thursday,
Friday, — Saturday, _ Sunday, at the following addresses:

Meals will b.e provided for up to a total of program days.
SUBRECIPIENT will provide proof of having provided the congregate
meals to the elderly via signed attendance sheets for each day that meals
were provided and charged to the City of Miami Program.
b) Homebound Meals to participants times per day on the
following days: — Monday, — Tuesday, Wednesday, _ Thursday,
Friday, Saturday, — Sunday.
Meals will be provided for up to a total of program days.
SUBREC]PIENT will provide proof of having provided the congregate
meals to the elderly via signed attendance sheets for each day that meals
were provided and charged to the City of Miami Program.

EXHIBIT C — COMPENSATION AND BUDGET SUMMARY
A. All payments shall be reimbursements for Meals for elderly residents will be
reimbursed per meal provided during the term of this Agreement, and according
to the rates specified below:
Reimbursement per delivered meal $6.50 per meal per client
Reimbursement per served meal $5.00 per meal per client
Rates may be negotiated for providers with active government agreements
reflecting a higher rate for the identical service.
The CITY shall pay the SUBRECIPIENT, as maximum compensation for the
services required pursuant to this Agreement the sum of $369,200.00.
B. During the term hereof and for a period of three (3) years following the date of the
last payment made hereunder, the CITY shall have the right to review and audit
the time records and related records of the SUBRECIPIENT pertaining to any
payments by the CITY.
C. Requests for payment should be made at least on a monthly basis.
Reimbursement requests should be submitted to the CITY within thirty (30)
calendar days after the indebtedness has been incurred in a form provided by the
Department. Failure to comply with these time frames for requesting
reimbursement/payment may result in the rejection of those invoices within the
reimbursement package which do not meet these requirements.
D. The SUBRECIPIENT must submit the final request for payment to the CITY
within 30 calendar days following the expiration date or termination date of this
Agreement. If the SUBRECIPIENT fails to comply with this requirement, the
SUBRECIPIENT shall forfeit all rights to payment and the CITY shall not honor
any request submitted. thereafter.
E. Any payment due under this Agreement may be withheld pending the receipt and
approval by the CITY of all reports due from the SUBRECIPIENT as a part of
this Agreement and any modifications thereto.
