WHITE (I 89Z-19881 JAMES L. •HURLEY II DBD• 14891 Re: Franchise Agreement between FPL Energy Systems, Inc. and The City of Miami dated June 8, 1998 (the "Franchise Agreement") Dear Sir: On behalf of our client, TECO Thermal Systems, Inc. ("TECO Thermal") and in accordance with Sections 5 and 18 of the Franchise Agreement (a copy of which is attached hereto for your convenient reference) in which the interest of FPL Energy Systems, Inc. is now held by TECO Thermal (formerly known as FPL Thermal Systems, Inc.) by virtue of an Assignment and Assumption Agreement dated September 1, 2001, this letter shall constitute advance written notice by TECO Thermal Systems, Inc. of its intended sale of the System Facilities (as therein defined) to Miami -Dade County, Florida pursuant to the terms ratified on February 7, 2006 by the Miami -Dade County Commission (the "Transaction"). In accordance with Section 5 of the Franchise Agreement, we request that The City of Miami, by Ordinance, approve and consent to the sale which such consent shall not be unreasonably withheld. In addition, we ask that the Ordinance specifically consent to the closing of the Transaction in advance of the sixtieth (60th) day from today provided that any such closing is subsequent to the date of the Ordinance, I HEREBY CERTIFY THAT THIS LETTER ETAS WAND DELIVERED TO THE ADDRESSEE THIS S DAY OF FEBRUARY. 2006.
