A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE ACCEPTANCE OF SETTLEMENT FUNDS, IN THE AMOUNT
OF $300,000, FROM THE CASE OF THE CITY OF MIAMI VS. GAYETY THEATRES,
INC., IN THE CIRCUIT COURT OF THE ELEVENTH JUDICIAL CIRCUIT IN AND
FOR MIAMI-DADE COUNTY, FLORIDA, CASE NO. 05-05813 CA (30); GAYETY
THEATRES, INC. VS. CITY OF MIAMI, THIRD DISTRICT COURT OF APPEALS
CASE NO. 05-4556-AP; AND GAYETY THEATRES, INC. VS. CITY OF MIAMI,
APPELLATE DIVISION OF THE ELEVENTH JUDICIAL CIRCUIT COURT IN AND
FOR MIAMI-DADE COUNTY, FLORIDA, CASE NO. 05-424 AP; AUTHORIZING THE
CITY MANAGER TO EXECUTE A SETTLEMENT AGREEMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, FOR SAID PURPOSE.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:
Section 1. Settlement funds, in the amount of $300,000, from the cases of the City of Miami vs.
Gayety Theatres, Inc., in the Circuit Court of the Eleventh Judicial Circuit in and for Miami -Dade
County, Florida, Case No. 05-05813 CA (30); Gayety Theatres, Inc. vs. City of Miami, Third District
Court of Appeals Case No. 05-4556-AP; and Gayety Theatres, Inc. vs. City of Miami, Appellate
Division of the Eleventh Judicial Circuit Court in and for Miami -Dade County, Florida, Case No. 05-
424 AP, are accepted.
Section 2. The City Manager is authorized{1} to execute a Settlement Agreement, in substantially
the attached form, for said purpose.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor. {2}

{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
