AGREEMENT BETWEEN METRO-DADE COUNTY
AND
CITY OF MIAMI

THIS AGREED NT, was entered into the t3th day of July, 1994, by Metropolitan Dade
County, GSA, Fleet Management Division (Fleet Management .Diviaon or MID) and the
City of Mutni, (Requesting Agency).
WHEREAS, the City of Miami has requested. that the Meet Management Division provide
them with fueling and vehicle emissions testing services; sad
WHEREAS, the Flect Monomers Division °pasta and manages 'baling
actions and vehicle maintenance & lidas and has experience in the . met. management
industry:
NOW, THEREFORE, the parties do mutually agree as follows:

This Agreamat commenced on July 13, 1994 and will continue indefinitely, subject to the
right of either party to tamitrate.

A. FiVID agrees to provide fuel at any one Ohs tubing Wilhite .located throughout the
County. Mist will be provided with the locations and °pasting hours.
H; Magnetic Sul cards will be provided for each vehicle and cut be used at any one of the
fuel .situ. An artificial 6-digit vehicle ID number wlil be created for each of the vehicles to
property idat'df j► them is irMD's database.
C. If problems are encountered during fuels essisnusce should be requested from an FMD
employee on site, if available, or call 375-5186 (as listed an the back of the fuel card) for
assistance. Fuel card replacements should be requested by fax to FIves's Fuel Card Section,
at 375-2296.

The requesting Agency shalt indenartify and hold hamlets the county and its officers,
employees, agents, and instnimeatalities from any and all liability, toles or damages.
.including attorneys' teas and coats of defense, which the County or its *films, agents, and
instrumentalities may incur u a result of dolma, demands, wits, caress: of actions or
proceedings of any kind arising out of; relating to or resulting from the partners, principals
or subcontractors. The government entity shall pay all claims and losses in connection
therewith and shall investigate and defend all claims, suits or actions of any kind or nature in
the narne of the County, where applicable, which may issue thereon. Provided, however,
this indemnification shall only be to the extent and within the limitations of Section 768.28
Fla. Stat., subject to the provisions of that Statute whereby the government entity shall not
be held liable to pay personal injury or property damage claim or judgment or portions
thereof, which when totaled with all other claims or judgment paid by the government entity
arising out of the same incident or occurrence, exceed the sum of S200,000, from any and
all personal injury or property damage claims, liabilities, losses or causes of action which
may arise as a result of the negligence of the government entity.
.' - BILLING;
A. Fuel cost data will be reflected in the monthly bill against the specific vehicle numbers.
The bill will be mailed to Aristides Fernandez, Deputy Director of the Department of
General Services and Solid Waste, 1390 N.W. 20 Street, Miami, FL, 33142.
B. Payment checks to Metro -Dade County should be made out to the BOARD OF
COUNTY COMMISSIONERS and mailed to: GSA, Director's Office, Accounting
Section, 111 N.W. 1st Street, Suite 2410, Miami, FL, 33128.
C. The cost of services rendered by FMD to the requesting agency shall be as follows:
Fueling charges., The price of fuel is based on FMD's actual purchase price,
which changes weekly depending on the current weekly fuel price offered by the
contracted vendors. To this, a surcharge of l8 cents per gallon is added which
covers the environmental and administrative overhead,
Vehicle EmisgionL Testing., The charge for emissions testing is S5 per vehicle.
This covers a fast time pass result or a first time fail and one subsequent test.
This Agreement contains the entire understanding between the parties and it may be
amended by joint agreement in writing of both parties.
