This Amendment is entered into this day of , 2005 by and between the
City of Miami, a municipal corporation of the State of Florida ("City") and Mercy Medical
Development d/b/a Mercy Outpatient Center ("Provider").
RECITALS
A. Pursuant to Resolution No. 04-0617, adopted by the City Commission on
September 23, 2004, the City and Provider entered into a Professional Services Agreement dated
November 23, 2004, for the provision of Sworn Police Annual Physical Examination Services, in
an annual amount not to exceed $415,240.
B. It is necessary to amend the Price Proposal Form increasing the estimated quantity
and extended price for the Additional/Optional exams.
C. The City Commission, by Resolution No. 05- adopted November
2005, has authorized an increase in the amount of compensation under the Agreement in an
annual amount not to exceed $98,268 to cover the cost of additionalloptional testing, as more
specifically set forth below.
NOW, THEREFORE, in consideration of the foregoing and of the mutual covenants set
forth herein, the parties amend the Agreement as follows:
1. COMPENSATION: The amount of compensation is hereby increased by an annual
amount not to exceed $98,268, from $415,240 to $513,508 annually, to cover the cost of the
additional/optional testing, as set forth in Attachment "1".
2. NO IMPLIED MODIFICATIONS: Except as specifically provided herein, all of
the terms and provisions of the Agreement shall remain in effect.
