A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A JOINT PARTICIPATION
AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, WITH MIAMI-DADE
COUNTY ("COUNTY"), TO PROVIDE FOR THE DESIGN, CONSTRUCTION,
ADMINISTRATION AND MAINTENANCE OF CERTAIN CAPITAL IMPROVEMENTS
TO THE RIGHTS -OF WAY SURROUNDING THE PERFORMING ARTS CENTER,
WHICH IS A PART OF THE PERFORMING ARTS CENTER STREET
IMPROVEMENTS PROJECT, B-30361, AND TO AUTHORIZE PAYMENT TO THE
COUNTY FOR THE PERFORMANCE OF THE IMPROVEMENTS, IN THE
MAXIMUM AMOUNT OF $741,000, ON A REIMBURSEMENT BASIS;
ALLOCATING FUNDS FROM THE COMMUNITY REDEVELOPMENT AGENCY
OMNI TAX INCREMENT FUND, ENTITLED "CONSTRUCTION IN PROGRESS,"
ACCOUNT CODE NO. 686001.590320.6.860, FOR SAID PURPOSE.
WHEREAS, the Community Redevelopment Agency ("CRA") has asked the Department of Capital
Improvements and Transportation ("Department") to assist in implementing right-of-way improvements,
consisting primarily of milling and resurfacing, curb and gutter replacement, sidewalk repairs and
installation of sidewalk pavers, signage and decorative lighting all in the roads surrounding and leading
to the new Performing Arts Center ("PAC") (hereinafter "CRA Improvements"); and
WHEREAS, the City of Miami ("City") and interested parties are eager to have the CRA
Improvements completed by the soft opening of the PAC in August of 2006; and
WHEREAS, the CRA's request has been approved by action of the Board of Directors of the Omni
CRA, and funds for the CRA Improvements have been approved by CRA Resolution No. 05-0021,
adopted May 26, 2005 and by CRA Resolution No. 05-0047, adopted November 3, 2005; and
WHEREAS, the development of the PAC, located within the two (2) block area bounded by
Northeast 14th Street, North Bayshore Drive, Northeast 13th Street and Northeast 2nd Avenue, Miami,
Florida, is a project managed and administered by Miami -Dade County ("County"), which currently has
construction contractors at work within said area; and
WHEREAS, so as to minimize conflict with multiple contractors working in the same areas, the
Department requested that the County secure and oversee construction contracts for the portions of
the CRA Improvements immediately adjacent to the PAC project; and
WHEREAS, the County has agreed to perform said work based on construction documents that will
be provided by the Department; and
WHEREAS, the attached Joint Participation Agreement ("JPA") has been negotiated with the
County, and details the responsibilities of the City and the County for their respective portions of the
work, as well as subsequent maintenance responsibilities once the improvements are completed,
including the CRA's commitment to maintain the decorative lighting; and

WHEREAS, the County will manage the CRA Improvements specified in the JPA on designated
rights of way on Northeast 14th Street and Northeast 13th Street from Northeast 2nd Avenue to
Biscayne Boulevard, and on Bayshore Drive and Northeast 2nd Avenue (East side) from Northeast
14th Street to Northeast 13th Street, Miami, Florida, the total cost of which is estimated at $741,000;
and
WHEREAS, the CRA has provided funds for this purpose from its Omni Tax Increment Fund,
entitled "Construction In Progress," Account Code No. 686001.590320.6.860; and
WHEREAS, the Department will provide all required design services and will complete the balance
of the CRA Improvements;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized(1) to execute a JPA, in substantially the attached form,
with the County, to provide for the design, construction, administration and maintenance of certain
capital improvements to the rights -of way surrounding the Performing Arts Center, which is part of the
PAC Street Improvements Project, B-30361, and to authorize payment to the County, for the
performance of the improvements, in the maximum amount of $741,000 on a reimbursement basis,
with funds allocated from the CRA Omni Tax Increment Fund, entitled "Construction In Process,"
Account Code No. 686001.590320.6.860, for said purpose.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor. {2}

Footnotes:
{1} The herein authorization is further subject to compliance with all requirementsthat may be imposed
by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
