Defendant CITY OF MIAMI ("City") is a municipal corporation and subdivision under the laws of the State of Florida. PREFACE GOVERNMENT STRUCTURE 5. Separation of Powers is a model of political theory and structure that inspired the Constitution of the United States of America, which provides that Governmental authority is allocated to three separate and distinct branches: Executive, Legislative, and Judicial. 6. Pursuant to 20.02 of the Florida Statutes (Declaration of Policy): "The State Constitution contemplates the separation of powers within state government among the legislative, executive and judicial branches of the government. The legislative branch has the broad purpose of determining policies and programs and reviewing program performance. The executive branch has the purpose of executing the programs and policies adopted by the Legislature and making policy recommendations to the Legislature. The judicial branch has the purpose of determining the constitutional propriety of the policies and programs and of adjudicating any conflicts arising from the interpretation of application of the laws." 7. The Legislature created the Local Government Code Enforcement Boards Act2 ("the Act"). 9. The Act authorized the creation of local code enforcement boards ("local board"). Thereby, the local board was given quasi-judicial authority and discretion,' which included: • The authority to "impose administrative fines and other non -criminal penalties for code violations."' • the discretion to "provide an equitable, expeditious, effective, and inexpensive method of enforcing any codes and ordinances in force in counties and municipalities"' and "[ijn determining the amount of the fine, if any, the enforcement board shall consider the following factors: (1) the gravity of the violation (2) any actions taken by the violator to correct the violation ..."6 THE LOCAL BOARD 2 S. 1, ch. 80-300; s. 72, ch. 81-259; s. 1, ch. 82-37. 3 See Lindbloom v. In 1980,7 pursuant to the Act, the City created its local board.' The local board manages code enforcement by and through; inspectors, notices to violators, a hearing process, the imposition of fines (if any), and when and if appropriate, the discretion to mitigate fines.' 11. Local board authority derives exclusively from the Act. AMENDMENT TO SECTION 2-817 OF THE CODE OF THE CITY OF MIAMI 12. On March 10, 2022, the Commission amended Section 2-817 of the Code of the City of Miami (Administrative costs, fines; liens) to make unpaid fines that have existed for more than 270 days ineligible for mitigation.'° ARMADA AND VIOLATION 00006048 (FAILURE TO MAINTAIN LOT CONDITION) 13. Since approximately 2015, Armada was a passive investor in the ownership of five properties alongside 2nd Avenue Investors LLC ("2nd Avenue"). The Property presently at issue was among those properties. 14. From approximately 2015 through October of 2021, 2nd Avenue managed the five properties and attended to their maintenance Armada played no role in the management of any of the five properties. 15. In or about October of 2021, Armada and 2nd Avenue ended their partnership. As a part of the separation agreement, Armada received the Property. 16. As a formerly passive investor, Armada was not aware that the Property had not been properly upkept. Ord. no. 9224, §1, 12-17-80. 2-811, et. seq. Code of Ordinances. 'Article X, City Code. On February 22, 2022, the City issued ticket/citation 0000604811 (failure to maintain lot condition) alleging that Armada had failed to maintain the lot in a safe, clean condition; not allowing accumulation of debris, trash or dense growth of grass; and that correction was required by March 8, 2022. The ticket was mailed to Armada at 2819 Emathla Street, Miami, Florida 33133 and to its registered agent at 420 South Dixie Iighway, Suite 4B, Coral Gables, Florida 33146. 18. 2819 Emathla Street was not a proper address for Armada as Sunbiz.org shows that Armada's principal address has been 4218 NE 2nd Avenue, Miami, Florida since April 27, 2017.12 19. 420 South Dixie Iighway was a proper address for Armada's registered agent, but, for reasons unknown to Armada, the City's correspondence was never forwarded to Armada so that it could address the City's concerns. 20. On March 15, 2022, Miami sent Armada a Violation and Summons to Appear at the City Commission on May 5, 2022 ("the Summons").13 21. The Summons was also sent to the improper 2819 Emathla address and to Armada's registered agent. Once again, for reasons unknown to Armada, the City's correspondence was never forwarded to Armada so that it could attend to the violation and appear before the City Commission. 22. On or about May 5, 2022, the City Code Enforcement Board held a hearing for violation 00006048, issued the Final Administrative Enforcement Notice, found Armada guilty of the violation, and ordered the violation addressed by May 6, 2022, with a $500.00 fine per day going forward.14 11 See February 22, 2022 Ticket and proofs of mailing, attached as Exhibit B. 12 See Armada Sunbiz detail by entity name, attached as Exhibit C. 13 See March 15, 2022 Summons and proofs of mailing, attached as Exhibit D. 14 See Final Administrative Notice, attached. as Exhibit E. The Final Enforcement Notice was also sent to the improper 2819 Emathla address and, as a result, Armada never received it and remained ignorant of the violation and fine. 24. In or about March of 2023, Armada first became aware of the violation and resulting lien through a lien search performed by its attorneys in conjunction with the prospective sale of the Property. 25. Upon learning of the outstanding violation, Armada immediately contacted a maintenance worker and arranged for the repair of a damaged fence, clearing of minimal debris, and basic lawn maintenance. 26. On March 8, 2023, City Inspector, Jason Mignott, found that violation 00006048 had been corrected and filed an Affidavit of Compliance confirming the same.15 27. Violation 00006048 existed for 306 days and the fine totals $153,000.16 28. Armada has made multiple requests for mitigation of the fine, but was informed that it is not eligible for consideration of mitigation (pursuant to Section 2-817 of the City Code) because the fine existed for (barely) greater than 270 days." CONDITIONS PRECEDENT 29. Given the Affidavit of Compliance, requests to mitigate, and the City's position that the property is ineligible for mitigation, all conditions precedent to the filing of this Complaint have been met, waived, or excused. Based expressly upon the Act, the City created its local board.'$ 31. Pursuant to the Act, the local board was vested with quasi-judicial status. The methodology of local enforcement was structured: • Code inspectors: charged with the duty to initiate enforcement proceedings;' • Local board: charged with the duty of due process;20 • a [due process] hearing from which the local board "... may order the violator to pay a fine... and in determining the amount of the fine, if any, the enforcement board shall consider the following factors: (1) the gravity of the violation; (2) any action taken by the violator to correct the violation; and (3) any previous violations committed by the violator. An enforcement board may reduce a fine imposed pursuant to this section";21 32. The §2-187(d) amendment does not allow the local board to properly consider fine mitigation as required by the Act and therefore conflicts with the Act. The amendment eliminates the local board's quasi-judicial authority and eliminates the local board's statutory discretion to mitigate. WHEREFORE, Armada Holdings, LLC, prays that this Honorable Court enter findings and a judgment that determines that the amendment to § 2-817 of the City Code of Ordinances violates the pre-emptive scope andintent of 5 162.01, Fla. Stat., by eliminating the local board's discretion to 18 Ord. No. 9224, §1, 12-17-80. Code of Ordinances. Art. X (Code Enforcement). 19 Ch. 162.06, Fla. Stat. COUNT II DECLARATORY RELIEF Armada re -alleges and re -avers the allegations set forth in Paragraphs 1-29 above as if fully set forth here. 33. The circuit courts have jurisdiction to declare rights, status, and other equitable or legal relations. Here, Armada is in doubt as to its rights, status, or other equitable or legal relations arising out of its showings of cure of the violations, as evidenced by the Affidavit of Compliance. 34. Armada invokes the court's authority to settle and to declare relief from its insecurity and uncertainty with respect to the following: • whether the amendment to §2-817(d) of the City Code conflicts with the Act; • whether irreducible fines which attach to the property create an adverse claim/cloud/ encumbrance to negatively impact marketability of Armada's property; and • assuming arguendo that the amendment does not offend the Act, whether Armada remains ineligible to mitigate the significant fines given the legislative intent of the amendment; and the proofs and the record as adduced. WHEREFORE, Armada Holdings, LLC, prays this court enter an order of declaratory relief, for jury trial on those matters so triable under 586.071, Fla. Stat., for an award of costs under 586.081, Fla. Stat., for entry of an order permitting a speedy hearing so as to afford full and complete equitable relief under §86.111, Fla. Stat. and any and all further relief this court deems just and proper. Chancery courts have jurisdiction of actions brought by any person or corporation, whether in actual possession or not, claiming legal or equitable title to land against any person or corporation not in actual possession, who has or who appears to have or claims an adverse legal or equitable estate, interest ... and quiet or remove clouds from title to the land.22 36. Marketable title means not merely a valid -in -fact title, but title must be such as to make it reasonably certain that the title will not be called into question in the future so as to subject the purchase to the hazard of litigation. It must be a title which can be sold to a reasonable purchaser or mortgaged to a person of reasonable prudence, and which is not subject to such a doubt or cloud as will affect its market value. 37. Armada has a fundamental and compelling property interest in retaining the property free of clouds of title, which impair the quality of title to the property and may cause the property to become unmarketable. WHEREFORE, Armada Holdings, LLC, prays for entry of a judgment in its favor and against the defendant thereby quieting title and for removal andextinguishment of the adverse claim and/or cloud attaching to the property and for trial by jury as to all such issues so triable.
