THIS MEMORANDUM OF UNDERSTANDING, dated this 18th day of May, 2005, by and
between THE SCHOOL BOARD OF MIAMI-DADE COUNTY, FLORIDA (hereinafter referred to
as "School Board") and the MIAMI PARKING AUTHORITY (hereinafter referred to as "MPA") is
being executed by the aforesaid parties for the purpose of establishing a cooperative
relationship in order to facilitate the future use of School Board parking facilities by the MPA
and/or the CITY OF MIAMI (hereinafter "City"); to this end the parties state the following:
WITNESSETH
WHEREAS, the parties hereto desire to cooperate towards the establishment of a
cooperative agreement that would permit City residents and the general public to use
underutilized School Board parking facilities during non -working hours and on weekends in
order to provide additional parking spaces for current and future City projects within the
proximity of the School Board's Administration Building; and
WHEREAS, the School Board owns several parking lots situated by its Administration
Building, 1450 N.E. Second Avenue, and which are located in close proximity to the future home
of the Performing Arts Center and near the proposed Miami Museum Park project; and
WHEREAS, the School Board desires to make available its parking spaces at specific
sites adjacent to the School Board's Administrative Building to visitors to the City's facilities.
NOW, THEREFORE, in consideration of the mutual covenants herein contained and
other good and valuable consideration, the receipt of which is hereby acknowledged, the parties
agree as follows:
1. The MPA and the School Board will cooperate in establishing an after-hours parking
program at...the School Board's Annex Parking Garage, located on N.E. Second
Avenue, between N.E. 15 Street and N.E. 16 Street, to be known as the School Board's
after-hours parking program (hereinafter "program");

2. The MPA will assist the School Board in planning the establishment of this after-hours
parking program at the School Board's Annex Parking Garage, including, but not limited
to, logistical, technical and management support, and will provide recommendations as
to the most feasible means of operating the facility;
3. Upon implementation of the after-hours parking program, the School Board may charge
a fee to those members of the public desiring to use the School Board's parking
facilities;
4. Should the School Board sell the property from where this program is being facilitated,
or should the School Board cease to use the facility for parking purposes, this program
will automatically terminate; and
5. This MEMORANDUM OF UNDERSTANDING shall automatically terminate in the event
the School Board is unable to secure permission from the City to close N.E. lst Court,
as part of an ongoing Platting process.
