Dear Ms. Velazquez:
This letter serves to advise you that Greenberg, Traurig has the authority to file with the City
of Miami for a Major Use Special Permit and Alley Closure Applications for the property located at
approximately NE 17th Street and NE 2' Avenue, Miami, Florida and more particularly described
in the attached deed on behalf of BDB Miami, LLC, which is the proposed purchaser of my
property.
It is my understanding that BDB Miami, LLC will be paying for all application fees, as
well as for all legal fees to Greenberg Traurig.

Dear Mr. Velazquez:
On behalf of Sylvia Whyte Manufacturing Company, a dissolved Florida
corporation which has continued its corporate existence as appropriate to wind up its
business affairs in accordance with Florida law, I am writing to advise you that your law
film, Greenberg Traurig, has the authority to file with the City of Miami a Major Use
Special Permit and Street Closure Application for the property located at approximately
59/79 N.E. 17 Terrace, and more particularly described as the west 1/2 of lot 3 and lot 7,
as recorded in Plat Book 2, page 60, of the public records of Miami, Dade County.
As you are aware, the property is encumbered by various liens and encumbrances
in excess of any value that the property may have to Sylvia Whyte Manufacturing
Company. Thus, Sylvia Whyte Manufacturing Company has no equity in these
properties. Nevertheless, on the condition that you have acknowledged these facts, on
behalf of Sylvia Whyte Manufacturing Company, I authorize you to file with the City of
Miami the above -referenced application.
It is understood that this authority is granted to Greenberg Traurig, P.A. for no
consideration whatsoever either to Sylvia Whyte Manufacturing Company or to any of its
principals. It is further understood that your client, BDB Miami LLC will bear all
expenses for application fees and legal fees to Greenberg Traurig.

to BCB Miami, LLC ("Purchaser")

This will confirm that the Seller has agreed that the Purchaser can include Lot 8 in
Purchasefs MUSP application, with the express understanding that if the closing does not occur,
the Purchaser will withdraw Lot 8 from its MUSP application.
If this does not accurately represent our understanding, please advise me immediately.
