A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH
ATTACHMENT(S), AMENDING RESOLUTION NO. 04-0792, ADOPTED
DECEMBER 9, 2004, CLARIFYING THAT RESOLUTION NO. 04-0792 GRANTS
THE CITY MANAGER THE AUTHORITY TO EXECUTE PROFESSIONAL
SERVICES AGREEMENTS, IN SUBSTANTIALLY THE FORM ATTACHED TO SAID
RESOLUTION, WITH THE QUALIFIED FIRMS TO PROVIDE CONSTRUCTION
ENGINEERING AND OBSERVATIONS SERVICES PURSUANT TO REQUEST FOR
QUALIFICATIONS NO. 03-04-131; FURTHER RATIFYING THE CITY MANAGER'S
EXECUTION OF PROFESSIONAL SERVICES AGREEMENTS WITH THE FIRMS
NAMED IN "ATTACHMENT 1," HERETO.
WHEREAS, on December 9, 2004, the City of Miami ("City") adopted Resolution No. 04-0792,
approving the findings of the Evaluation Committee and selecting twenty-three (23) firms as the most
qualified firms to provide construction engineering and observation services, pursuant to Request for
Qualifications No. 03-04-131; and
WHEREAS, Resolution No. 04-0792, authorized the City Manager to "negotiate a Professional
Services Agreements ("Agreements"), in substantially the attached form, with each firm, for a
three-year period with the option delegated to the City Manager to extend the Agreement for two
additional one-year periods, in an amount not to exceed $750,000, for each firm, for a total amount
not to exceed $17,250,000, with funds allocated from various Capital Project Accounts, subject to
budgetary approval;" and
WHEREAS, it was the intent of Resolution No. 04-0792, to authorize the City Manager to not only
negotiate, but also to "execute" agreements with the selected firms; and
WHEREAS, pursuant to Resolution No. 04-0792, the City Manager has executed Agreements, in
the form authorized thereunder, with the firms listed in Attachment "1;" and
WHEREAS, it is necessary to amend Resolution No. 04-0792 to clarify that Resolution No. 04-
0792 grants the City Manager the authority to execute Agreements with the selected firms and to
ratify the contracts already executed by the City Manager with the firms listed in Attachment "1;"
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. Section 3 of Resolution No. 04-0792, adopted December 9, 2004, is amended in the
following particulars{1}:

Section 3. The City Manager is authorized{1} to negotiate and execute an
Agreement, in substantially the attached form, with each firm, for a three-year
period with the option delegated to the City Manager to extend the Agreement for
two additional one-year periods, in an amount not to exceed $750,000, for each
firm, for a total amount not to exceed $17,250,000, with funds allocated from
various Capital Project Accounts, subject to budgetary approval.
Section 3. The execution of the Agreements described in Attachment "1," is ratified.
Section 4. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor {2}

{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar

effective immediately upon override of the veto by the City Commission.
