BOX 330708 MIAMI, FLORIDA 33233-0708 (305) 250-5400 FAX (305) 250-5410 Re: Master Work Order Authorization Program Management Services Per City of Miami Beach RFQ No. 111-99/00; Agreement Between the City of Miami Beach, FL and URS Corporation -Southern for Program Management Services (Master Agreement) Dear Mr. Morris: This work order is deemed to incorporate by reference the terms and conditions of that certain City of Miami Beach RFQ No. 111-99/00, dated June 27, 2001, and City of Miami Beach Professional Services Agreement dated June 27, 2001, between the City of Miami Beach and URS Corporation. The undersigned will perform this work in compliance with the foregoing Agreement. Additionally, this Agreement has been authorized by City Commission Resolution No. 04-0120 and the terms of any enabling resolution are deemed as being incorporated by reference herein. The undersigned will perform this work in compliance with any enabling resolution. Scope of Services The scope of services are detailed in Attachment No.1, attached hereto and made a part hereof. li. Time of Performance The schedule for performance of the work is also detailed in Attachment No. 1, attached hereto and made a part hereof. The completion date schedule shall be adjusted to reflect the date of the written notice to proceed date. 3/24/2004 WORK ORDER AUTHORIZATION Program Management Services, City of Miami Beach RFQ No. 111-99/00 Page 2 of 4 III. Compensation No work will be undertaken without a specific work order and a Notice to Proceed issued by the City Manager or his authorized designee for this work; the Director of the Department of Transportation, Mary H. Conway. The cumulative sum of all work orders cannot exceed the guaranteed sum of one million dollars. The work will be performed for a fee guaranteed not -to -exceed the cumulative sum of $1 million. The City shall not be liable for any cost, fee, or expenditure above the amounts set forth in this section. The above quoted fee includes an allowance for reimbursable expenses that comply with the requirements of the Agreement. Any eligible reimbursable expenses shall conform to the limitations of Florida Statue 112.061. IV. Sub -Consultants N/A V. Estimated Construction Cost N/A. Time of Performance The work order scope of services shall be completed within indicated duration as specified in the subsequent task orders following the execution date of this Master Work Order Authorization. This Master Work Order Authorization shall constitute Written Notice to Proceed upon execution by the City of Miami Transportation Director. VIII. Liability Insurance Professional liability and general liability insurance, expressly naming the City of Miami as an Additional Insured in the amounts required by the Company's June 27, 2001, Contract with the City of Miami Beach referenced above. Copies of certificates of insurance evidencing this coverage are attached hereto and made a part hereof. 3/24/2004 WORK ORDER AUTHORIZATION Program Management Services, City of Miami Beach RFQ No. 111-99/00 Page 3 of 4 All policies and/or certificates of insurance are subject to the approval of, and must be maintained on file with, the City of Miami Risk Manager, throughout the performance of this work. If the initial required policies (or bonds) expire prior to completion of the work, renewal copies of policies shall be furnished to the City's Risk Manager at least thirty (30) days prior to the date of their expiration. The policies or certificates must be endorsed to provide the City Risk Manager with at least thirty (30) days notice of cancellation and/or restriction. IX. Delegation To issue, on an administrative basis without the necessity of further City departmental approvals, to the City of Miami Transportation Department Director Mary H. Conway, subordinate work orders for program management services to manage construction projects, implementing this work order with this named contractor in miscellaneous segments, strictly in accordance with all terms, conditions, budgetary and other limitations set forth in this work order and its referenced exhibits and contract documents. X. Miscellaneous (i) Contractor represents and warrants that there shall be no unlawful discrimination as provided by federal, state, or local law in performance of this Agreement. (ii) Contractor will comply with all federal, state and local laws, including all/ applicable provisions of the Americans with Disabilities Act ("ADA") in the course of providing any work, labor or services funded by the City, including Titles I and II of the ADA (regarding nondiscrimination on the basis of disability) and all applicable regulations, guidelines and standards. Additionally, Contractor shall take affirmative steps to ensure non- discrimination in employment of disabled persons. (iii) The Contractor will allow inspectors the ability to monitor Contractor's compliance with safety precautions required by federal, state or local laws, rules and regulations. By performing these inspections the inspectors or the City are not assuming any liability by virtue of these laws, rules and regulations, or of supervision or control of safety, which is the responsibility of the Contractor. The Contractor has no recourse against the City and/or the inspector(s) from the occurrence, non-occurrence or result of such inspection(s). (iv) In the event of any delays to the work, Contractor's sole remedy is to seek an extension of time in accordance with the terms of the contract. (v) This Agreement shall be covered by the laws of the State of Florida. Carrillo Risk Management Administrator ATTACHMENT 1 Scope—URS will perform various program management consulting tasks for vertical construction including, but not limited to, the following: • Define/refine project scopes. • Prepare project estimates & budgets. • Serve as project managers overseeing all aspects of CIP vertical construction projects and others as required to ensure quality projects and timely project delivery. • Assist in development and updating of facilities deferred maintenance plan. • Investigate and recommend alternative contract delivery methods, including, but not limited to, design build, CM at risk, Job Order Contracting, etc., to expedite the implementation of projects. • Assist in the development of plan and specification standardization for vertical construction. • Other tasks as required to support the efficient delivery of CIP vertical projects. Schedule —Services shall begin on February 26, 2004 and conclude on or before May 26, 2006, unless extended via subsequent contractual amendment.
