AMENDED CROSS ACCESS EASEMENT. AGREEMENT
THIS AMENDED CROSS ACCESS EASEMENT AGREEMENT ("Agreement") is
made and entered into as of this day of October, 2004, by and between M I A M I RIVER.
LLC, a Florida limited liability company, having an address of 848 Brickell Avenue, Suite 700,
Miami, Florida 33131 ("Miami River"), DOWNTOWN RIVER VILLAGE LLC, a Florida limited
liability company, having an address of c/o Antonio J. Cabrera, Jr., Ocean Bank Building, Suite
555, 782 North LeJeune Roaci,nazz i, Florida 33126 ("Downtown"), and NEO EPOCi11, LTD, a
Florida limited partnership (`Neo Epoch). (Miami River, Downtown and Neo Epoc are sometimes
referred to individually as a "Party" and collectively as the "Parties").
RECITALS
A. Miami River and Downtown entered into that certain Cross Access Easement Agreement
dated November 14, 2003 and recorded in Official Records Book 21842 at Page 4246 of the
Public Records of Miami -Dade County, Florida which provides for the construction and sharing
of roads for vehicular and pedestrian. access between. the Properties and between., the Properties
and those certain public streets known as South Miami Avenue and Southwest Third Street
situated in the City of Miami, Florida (the "Easement Agreement").
B. Subseeluent to entering in the Easement A.gxeemezrt, Neo Epoch purchased
part of the property that Downtown owned subject to the Easement
A.greenent.
C . Miami River, Downtown and Neo Epoch. desire to amend certain provisions of the Easement
Agreement and the Easement Agreement provides for modifications to be made by the current
owners of, the Properties (as defined in the Easement Agreement) and joined into by the then
current mortgagees.
D . Miami River is the fee simple title holder of the real property legally described on Exhibit "A"
attached hereto, Downtown in the fee simple title holder of the real property legally described on
Exhibit "f3" attached hereto and Neo Epoch 1, Ltd. is the fee simple title holder of the real
property legally described on Exhibit "C". Exhibit "A", Exhibit "B" and Exhibit "C"
collectively describe the Properties.

E. Waclzova Bank, N.A. is the current Mortgagee of the property owned by Neo Epoch, 1, Ltd.
The Property owned by Miami fiver is not encumbered with a mortgage.
NOW, THEREFORE, for good and valuable consideration, the receipt whereof is hereby
acknowledged, and in consideration of the mutual covenants hereafter set forth, the Patties freely,
voluntarily and without duress, grant each other the following easements and enter into `the
agreements hereinafter set forth, intending that the same benefit and burden the Properties find
constitute covenants running with the land,
AGREEMENTS
1. . Lpcatii n of Private Road. Exhibit "C" of the Easement Agreement is replaced with Exhibit
"p' attached hereto.
Riehts. In granting an Easement, the Grantor of such Easement is not transferring any air
rights associated with the land upon which the Easement is located. Each Grantor retains any uric all
rights to construct over the Easement it granted provided the completed improvernent over.the
Easement does not interfere with the purpose and use of the Easement.
3. Construction. Provided one of the Easements identified on Exhibit "D" attached hereto is
maintained opened, in full use and thereby affords complete motor vehicular and pedestrian access
to the Development, Downtown has the right to temporarily interrupt the motor vehicular access
through any other Easement identified on Exhibit "D" attached hereto while it is ccinstructing the
improvements that it intends to construct above the Easement that it has granted. During the time
that Downtown is constructing the structure above the Easement and thereby interrupting the use of
the Easement, Down to ar shall (i) pursue such construction to completion with all due diligence,
subject only to force majeure delays, (ii) use its best efforts to minimizethe interruption of the use of
the Easement, and (iii) take all reasonable measures to maintain pedestrian access :by setting: up
temporary sidewalks around the construction staging areas.
4. Apand.onrnent of Construction.. in the event that Downtown abandons the construction
work over -the Easement after the coirunencement thereof, and the use of the Easement remains
interrupted in any manner whatsoever, Miami River may elect, by written notice to Downtown, to
enter the 'construction area and remove any and all obstacles that interrupt the use of the Easement.
Downtown shall be deemed to have abandoned the construction work if it fails to pursue the
completion of the construction work diligently and in good faith
5. Miscellaneous.
(a) Entire .AP,reement, Except as otherwise expressly provided herein, this
Agreement constitutes the entire agreement of the parties hereto with respect to the matters
addressed herein and supersedes all prior or contemporaneous contracts, promises, representations,
..varraajties and statements, whether written or oral, with respect to such matters, There are no other
amendments to the Agreement which remain in force. The parties hereto act rowledge that all terms
and provisions of the Agreement, as amended liereby,..are in full force and effect,

(b) Modification. Except as amended hereby, the Easement remains in full force
and effect as of the date hereof. This Amendment may be eNecuted in multiple counterparts, and
delivered by facsimile in a legally binding mariner.
