A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE AN AMENDMENT TO THE
PROFESSIONAL SERVICES AGREEMENT ("AGREEMENT"), IN SUBSTANTIALLY
THE ATTACHED FORM, BETWEEN THE CITY OF MIAMI ("CITY") AND FIRST
UNION BANK OF FLORIDA, PURSUANT TO RESOLUTION NO. 01-1140,
ADOPTED OCTOBER 25, 2001, BY ASSIGNING SAID AGREEMENT TO
WACHOVIA CORPORATION; AND GRANTING AN EXTENSION OF THE
AGREEMENT, FOR ITS INITIAL OPTIONAL EXTENSION YEAR THROUGH
NOVEMBER 29, 2005; FURTHER DELEGATING THE EXTENSION(S) OF ANY
REMAINING OPTIONAL TERMS, TO THE CITY MANAGER.
WHEREAS, the City of Miami ("City") issued Request For Proposals No. 00-01-162 to secure a
banking firm to provide banking services to the City and following evaluation, First Union National
Bank of Florida was selected and authorized to execute a professional services agreement
("Agreement"), pursuant to Resolution No. 01-1140, adopted October 25, 2001; and
WHEREAS, the Agreement was for three (3) years, with the option to extend said Agreement for
three (3) additional terms of one (1) year, with said terms and conditions of such renewal subject to
approval by the City Commission; and
and
WHEREAS, First Union Bank of Florida has since changed its name to the Wachovia Corporation;
WHEREAS, the bank has provided satisfactory service to the City; and
WHEREAS, the City is seeking authority to execute an Amendment to the Agreement changing its
name to the Wachovia Corporation, authorizing said Agreement to be extended for its initial optional
extension year through November 29, 2005, and delegating to the City Manager the authority to
approve any remaining optional terms;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized{1} to execute the Amendment to the Agreement, in
substantially the attached form, between the City and First Union Bank of Florida, pursuant to
Resolution No. 01-1140, adopted October 25, 2001, by assigning said Agreement to Wachovia
Corporation, is authorized.
Section 3. An extension of the Agreement for its initial optional extension year through November

29, 2005, is granted.
Section 4. Approval of further extension(s) of any remaining optional terms is delegated to the
City Manager.
Section 5. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that
may be imposed by the City Attorney, including but not limited to those prescribed by
applicable City Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of
ten calendar days from the date it was passed and adopted. If the Mayor vetoes this
Resolution, it shall become effective immediately upon override of the veto by the City
Commission.
