CITY OF MIAMI, FLORIDA INTER -OFFICE MEMORANDUM TO : FROM Hon rabic Mayor, rs of the Joe la Ch ministrator/City Manager DATE ' FILE : FM-054.doe Resolution approving a Marketing SUR,JFC- Partnership Agreement with Cardiac Science, Inc., to enhance and expand the City's Public Access Defibrillator REFERENCES : ("PAD") Program ENCLOSURES; Resolution, Contract RECOMMENDATION It is respectfully recommended that the City Commission adopt the attached Resolution authorizing the City Manager to execute a Marketing Partnership Agreement ("MPA") with Cardiac Science, Inc. ("Cardiac Science"), a non-local/non-minority vendor, located at 1900 Main Street, Suite 700, Irvine, California 92614, using the City of San Diego Contract/RFP No. 4318-01-Y, to enhance and expand the City of Miami's Public Access Defibrillation ("PAD") program for Citywide use, for a term of one (1) year, with the option to extend for four (4) additional one-year periods. The Resolution further establishes a new special revenue fund entitled: "Public Access Defibrillation ("PAD") Program," and appropriating said funds for the operation of same, in accordance with the Marketing Partnership Program ("MPP") to generate revenue to fund existing and additional facilities, projects, programs and activities from Cardiac Science, Inc. and other PAD related funding sources. BACKGROUND Two (2) precedence's of the City of Miami Department of Fire -Rescue are to "save lives" through early defibrillation and to make Automatic External Defibrillators ("AEDs") as accessible as fire extinguishers in the City of Miami. Pursuant to Ordinance No. 12402, adopted September 11, 2003, the Department of Fire -Rescue has a .need to create a MPP to generate revenue to fund existing and additional facilities, projects, programs and activities. The leading cause of death in the United States is sudden cardiac arrest, killing over 400,000 people each year. The key to surviving sudden cardiac arrest is the speed of response that a victim receives an electrical shock to the heart, to reverse sudden cardiac arrest. Cardiac Science has demonstrated an interest in the City's PAD program by submitting a proposal to enter into a Marketing Partnership Agreement, for a period of one (1) year, with the option to renew for four (4) additional one-year periods. This Agreement will allow the Department of Fire -Rescue to improve its public safety interoperability within the City of Miami and to establish a self funded PAD program that will expand the use of AEDs Citywide without increasing the City's revenue expenditure. In consideration of the rights, benefits, and privileges granted to Cardiac Science under this aforementioned Agreement, Cardiac Science shall pay the City a Marketing Rights Fee of $50,000 for the first year of the Agreement, $25,000 in year two if Cardiac Science sells 226 AEDs in year one and $25,000 in year three if Cardiac Science sells 565 AEDs from inception of program to the end of year two. Cardiac Science also agrees to credit any past (past means: before this contract becomes effective) City of Miami Cardiac Science AED and accessory Honorable Mayor and Members of the City Commission Page 2 of 2 purchases to the qualifying requirement for year 2 marketing rights fees, Furthermore, Cardiac Science shall pay the City an incremental marketing fee for each AED and Wall Mount sold by Cardiac Science to any party in the zip codes listed in said contract agreement and/or any party that the City of Miami and/or its PAD Program refer to Cardiac Science. It is, therefore, practicable and most advantageous for the City of Miami to contract with Cardiac Science; whereas, as authorized by City of Miami Procurement Code §18-111, Miami City Code, this Agreement has been accepted and procured by the City from the contract of another municipality. The City of San Diego, which the Chief Procurement Officer has found was entered into pursuant to a competitive process in compliance with City laws, policies, and procedures. Most importantly, Cardiac Science's proposal meets the objectives of the MPP and is otherwise in the best interests of the City to participate in this Agreement. It is now appropriate to accept said funds for the operation of same, in accordance with the Marketing Partnership Program ("MPP") to generate revenue to fund existing and additional facilities, projects, programs and activities from Cardiac Science, Inc., and other PAD related funding sources, and appropriate the said MPP funds therein for this fiscal year.
