Revocable License Agreement
between the City of Miami and
Southeast Total Marine Center, Inc.

RECOMMENDATION:
The administration recommends that the City Commission approve the attached Resolution authorizing
the City Manager to execute a Revocable License Agreement ("Agreement"), revocable at -will, in
substantially the attached form, with Southeast Total Marine Center, Inc. ("Licensee"), a for profit
corporation. This Agreement is for the use of approximately 2,198 square feet of space within the
building of the property located at 3501 Rickenbacker Causeway, Miami, Florida, for the purpose of
providing marine related repair operations. Licensee shall pay the City of Miami ("City") a use fee of
$2,000.00 per month plus Florida State Use Tax, if applicable, and with the terms and conditions as
more particularly set forth in the Agreement.
BACKGROUND:
The City operates a marina for the public at 3501 Rickenbacker Causeway, Miami, Florida, and from
time to time needs to provide marine related repair services to its customers. Licensee has provided
this service in the past and wishes to continue providing such service to the general public. Licensee
has made certain improvements such as air conditioning to the building in anticipation of providing
better service for marina customers. Licensee has requested to enter into an agreement with the City to
continue operating its marine related repair operations for marina customers.
Highlights of the Agreement are as follows:
Use Period: Commences upon full execution of the Agreement, which may be terminated in
the following manner:
(a) cancellation by Licensee; or
(h) revocation by the City.
Use Fee: $2,000.00 per month plus State Use Tax, if applicable, commencing on the first
day of the month.

Utilities:
The City shall pay water, lights sewage, and HVAC. Licensee to pay the City a
monthly fee (the "Utility Fee") for its share of utility consumption in the amount
of $290.00, which Utility Fee shall be paid on the first day of the second month
following the Effective Date of the Agreement.
Fee Increase: Use Fee, Security, and Utility Fee shall be increased 5% every twelve (12)
consecutive months.
Late Fee: 5% of the delinquent amount due if not received within the first five days. Any
amount not paid after 15 days, shall bear interest at 12% per annum until paid.
Security Deposit: $6,000.00 upon execution of the Agreement.
Maintenance: Licensee, at its sole cost and expense, shall maintain the Area.
Insurance: Licensee shall provide the required insurance, which includes commercial
general liability in the amount of $1,000,000, "All Risk" property insurance on
Licensee's improvements, Automobile insurance, and Worker's Compensation
in the form and amounts required by State law.
Financial impact: There is a positive financial impact to the City of revenue to the general fund
in the amount of $2,000.00 per month.
