HomeMy WebLinkAboutcover memoCITY OF MIAMI, FLORIDA INTER -OFFICE MEMORANDUM ct TO ; The Honorable Mayor and M bers of the City Commission 612 FROM :Joe Arriola City Manager/Chief Administrator AUG 2 3 ZUO44 DATE: SUBJECT: REFERENCES: ENCLOSURES: FILE Revocable License Agreement between the City of Miami and Speak Easy Returning To Our Roots, Inc. aka Speak Easy Tutors RECOMMENDATION: The Administration recommends that the City Commission adopt the attached Resolution authorizing the City Manager to execute a Revocable License Agreement (the "Agreement"), revocable at -will, in substantially the attached form, with Speak Easy Returning To Our Roots, Inc. (aka Speak Easy Tutors), a corporation under the laws of the State of Florida (the "Licensee"), for the use of approximately 1,167 square feet of the City -owned Overtown Shopping Center property located at 1490 NW 3rd Avenue, Miami, Florida on a month -to -month basis. Licensee shall pay the City $7.50 per square foot or $729.38 per month plus Florida State Use Tax, if applicable, for 1,167 square feet of space and will operate and maintain an administrative and program facility providing educational, linguistic, communications and ancillary educational activities. BACKGROUND: On May 20, 2004, the Overtown Advisory Board approved Speak Easy Returning To Our Roots (aka Speakeasy Tutors) as a prospective licensee of the Overtown Shopping Center located at 1490 NW 3rd Avenue, Miami, Florida. The subject property is located in the heart of the Overtown community and the Miami -Dade County Enterprise Zone. Pursuant to City Commission Resolution 97-776, adopted on October 28, 1997, the City is authorized to grant an abatement of six (6) months fees/rents to all businesses that occupy space in the Overtown Shopping Center in order to promote economic development within the Overtown Community. The prospective Licensee, an after -school education provider established in 1989, will provide valuable educational and tutoring services to the Overtown community. Highlights of the Agreement are as follows: Property: Permitted Use: Term: Security Deposit: Use Fees: Adjustment to Use Fee and Security: Insurance: Utilities: Maintenance: Financial impact: Approximately 1,167 square feet located at 1490 NW 3rd Avenue, Miami, Florida. Licensee shall occupy and use the Property for educational program and administrative purposes, providing tutoring, linguistics, communications and ancillary educational uses. Month -to -month commencing upon the Effective Date. $2,188.14 $7.50 per square foot at $729.38 per month, plus use tax, if applicable commencing the first day of the seventh month of the Agreement (six months abatement pursuant to Resolution 97-776). This use fee was formulated so as to stimulate economic development in and around the Overtown Shopping Center. Use Fees and Security, increased by 3% each year. Licensee shall be required to maintain General Liability, All Risk for its improvements, Automobile and Worker's Compensation Insurance in amounts requested by Risk Management. The City shall be named Additional Insured. Licensee shall pay 0.50 cents per square foot or $48.63 per month for water and sewer utilities. All other utilities shall be paid for directly by Licensee Licensee, at its sole cost and expense, shall provide all maintenance and repairs at the Property except roof and structural portions of the building.
