THIS LET 1`ER OF INTENT (this "LOT") is made effective the 2nd day of June, 2023 by
GROUP JRP, LLC, a Florida limited liability company or a to-be-foiuied limited liability
company owned and controlled by the same individuals (the "Tenant") to the CITY OF MIAMI
(the "City"). Tenant and the City are each sometimes referred to herein as a "Party" and,
collectively, as the "Parties."
Background:
Tenant intends to obtain from the City, the right to operate the Premises for the purposes
of operating a boat repair and maintenance business including, servicing and care of boats, boat
engines and systems (the "Intended Use"). Principals of the Tenant have over 20 years of
experience in boat repair and maintenance services in Miami -Dade County and are well known in
the marine industry, enjoying a reputation for providing excellent service and operating a first-
class business.
Please accept this as Tenant's proposal (the "Proposed Transaction") are as follows:
PREMISES
LEASE/LICENSE
AGREEMENT:
The premises contain approximately 625 square feet of
warehouse space located within the ancillary building located at
3501 Rickenbacker Causeway Miami FL, 33149, and depicted
on the Exhibit "A" hereto. The premises are currently self-
contained and Tenant will not require any additional demising
walls to be constructed or improvements to the premises. The
premises will be accepted on an as -is basis and was previously
operated by the prior tenant for the Intended Use.
Tenant requests that the City consider lease for a term of (10)
years, with extension options, however, it is aware that the
Premises may be based upon a license agreement, either of
which will be on terms and conditions acceptable to the City and
the Tenant, at market rate.
RENTAL RATE: To be determined by the City
INSURANCE/
PROPERTY MAINTENANCE:
LICENSES AND PERMITS:
Tenant will be responsible obtain general liability insurance
naming the City as an additional insured. Causality insurance
and building maintenance expenses to be agreed upon by the
Parties, in accordance with the requirements of the City.
Tenant will be responsible to obtain all appropriate licenses,
permits and governmental authorizations to operate the Intended
Use at the Premises.

BROKERS: Tenant represents to the City that no real estate brokers have
been involved in the Proposed Transaction
It is expressly acknowledged and agreed by the Parties that this Letter of Intent is not intended,
nor shall this Letter of Intent be deemed to be a legally binding or enforceable agreement of the
Tenant but an expression of its intent. Furthermore, this Letter of Intent does not purport to be
inclusive of all of the material terms and conditions relating to such transaction. It is expressly
agreed and understood that, as a condition to a legally binding obligation of the Parties, the Parties
will enter into a license or lease agreement subject to the approval of the City Commission and
otherwise shall be acceptable in form and substance to the Parties.
