RECOMMENDATION:
The administration recommends that the City Commission adopt the attached Resolution,
by an affirmative vote of 4/5ths of the members of the Miami City Commission, waiving
competitive negotiation procedures for the provision of professional services for the
management of approximately 3.29 acres of City -owned property, located at 6161
Northwest 9th Avenue, Miami, Florida (the "Property"), and authorizing the City Manager
to execute a management agreement (the "Agreement"), in substantially the attached form,
with Belafonte Tacolcy Center, Inc,, ("Provider"), a nonprofit corporation, to provide for: 1)
an initial term of fifteen (15) years that shall commence on the effective date, with an
option to extend for one additional fifteen (15) year term subject to the mutual consent of
the parties; 2) the Provider shall pay a fee of one dollar ($1.00) per annum plus Florida
State Use Tax, if applicable; 3) the Provider may enter into program service agreements
with service providers for the purpose of operating educational, recreational and leadership
training programs; and 4) cancellation of the Revocable License Agreement dated
November 20, 1997, between the City of Miami and Belafonte Tacolcy Center, Inc., on the
effective date of the Agreement.
BACKGROUND:
The City of Miami ("City") is the owner of real property and improvements located at 6161
Northwest 9th Avenue, Miami, Florida, which has been occupied by Belafonte Tacolcy
Center, Inc. since 1971. On March 20, 1997, the City Commission authorized the City
Manager to execute the most recent agreement with Belafonte Tacolcy Center, Inc. for the
purpose of operating youth development, education and leadership programs at the
Property. On November 20, 1997, the City Manager executed a Revocable License
Agreement with Belafonte Tacolcy Center, Inc. to be managed by the Parks Department.
Belafonte Tacolcy Center has requested that the City grant it a Management Agreement in
lieu of a Revocable License Agreement in order to provide their organization adequate time
to accomplish its goals and objectives in operating youth development and educational
programs. The proposed Management Agreement has been reviewed and approved by the
Parks Department.
It is recommended that the City Commission approve this Management Agreement in
order to provide for the continued operation of the site for youth development, educational
and leadership training programs.

Highlights of the Agreement are as follows:
Property: Approximately 3.29 acres located at 6161 Northwest 9th
Avenue.
Purpose:
Provider shall manage the Property for the purpose of
operating youth development, educational and leadership
training programs.
Initial Term: 15 years.
Option to Renew:

the parties.
Either party may terminate this Agreement with 180 days
notice.

Provider is authorized to enter into professional service
agreements with service providers for the provision of youth
development, educational and leadership training programs.
Provider shall be required to maintain general liability, all risk
for its improvements, automobile and worker's compensation
insurance in amounts requested by Risk Management. Service
Providers shall also be required to maintain the same type of
coverage as the Provider. The City shall provide property
coverage.
Utilities: Provider shall pay all utilities.
Improvements: City to contribute certain exterior capital improvements using
Homeland Security Bond funds for approximately $300,000.

City shall provide all exterior maintenance, including
preventive maintenance, repairs and replacements, as
necessary, to the Property.
Provider shall provide all nonstructural interior maintenance,
including preventive maintenance, repairs and replacements,
as necessary, to the Property.

Taxes:
Provider to pay all ad valorem taxes. In the event the Property
is deemed taxable, either party has a right to terminate the
agreement upon thirty (30) days written notice to the non -
canceling party.
Financial Impact: Expenditures from the City's general fund for exterior maintenance
will be offset by cost savings to the City for providing the same level of service in staffing
and operating youth programs by the Provider. For fiscal year 2003 — 2004, Provider's
operatingkfudget for such service is approximately $882,000,00
