Third Street Miami, Florida 33132 Phone (305) 373-6789 Fax (305) 371-9.51 www.miamiparking.com RELEASE, DISCHARGE AND WAIVER OF OPTION AND RIGHT OF FIRST REFUSAL In consideration of one .($1.00) dollar paid by the Department of Off -Street Parking ("DOSP" or "OWNER"), a public agency and instrumentality having its principal offices at 190 NE 3rd St., Miami, FI. 33132, and other valuable consideration given by Owner, the receipt and sufficiency of which is hereby acknowledged by the City of Miami ("City"), a Florida municipal corporation with its principal offices at 444 SW 2nd Avenue, Miami, Fl. 33130, the City does hereby voluntarily release, waive, and discharge all restrictions, obligations, options to purchase and.rights of first refusal held by the City of Miami over the property legally described as follows: Tract 3 of the "Riverside Plaza" according to the Plat thereof, recorded in 139 at Page 43 of the Public Records of Miami- Dade County, Florida (film/ Dade County, Florida). The City of Miami specifically voluntarily releases, waives and discharges all restrictions, obligations, options to purchase and rights of first refusal imposed on the above described property by virtue of the'following instruments: (i) . Notice of Option and Right of First Refusal dated June 19, 1997 and recorded at ORB 17746/PG 2743 of the Public Records of Miami- Dade County; (ii) That certain Agreement between the City and DOSP dated June 19, 1997, for sale of Tract 3 and Conveyance of Legal Title to Lot 10, a copy of which is on file and may be inspected in the Offices of the City Clerk, 3500 Pan American Drive, Miami, fl. 33133. The removal of these restrictions, obligations, options, and rights of first refusal is in the best interests of public health, safety, and general welfare insofar as the Owner will be causing or facilitating the development of the above -described property for low and moderate income housing for the elderly. This development cannot be financed or constructed unless the City waives and relinquishes the foregoing restrictions, 1 obligations, options and rights. Accordingly, the Owner may sell, lease and/or develop the above -described property free of the above -described restrictions, obligations, options and right of first refusal.
